Job Description

The Corporate Paralegal/Contracts Administrator for HITRUST plays a crucial role in supporting legal operations within the company. This role will work closely with the HITRUST General Counsel to lead initiatives to improve contract lifecycle management and assist in various aspects of corporate law. While they do not practice law, they contribute significantly to corporate transactions and legal processes.


Duties & Responsibilities: 

  • Oversee corporate law matters by managing legal entity governance, annual filings, and other legal transactions
  • Implement changes to contracts to ensure compliance with legal requirements
  • Support sales operations by managing the contract lifecycle, facilitating timely execution of customer agreements, and mitigating contractual risk
  • Assist procurement and vendor management of products and services procured by the company
  • Draft and manage various business entity documents (e.g., articles of incorporation, dissolution, stock certificates, merger agreements)
  • Coordinate and distribute annual reports
  • Participate in corporate meetings and prepare corporate resolutions
  • Maintain legal templates for contracts, correspondence, and other relevant documents
  • Collaborate cross-functionally with internal stakeholders and external parties to support business operations

To excel in this position, you should possess the following skills:

  • Proficiency in using virtual data rooms to upload and organize documents
  • Strong written and verbal communication skills
  • Superb attention to detail with outstanding organization skills, able to prioritize and manage multiple complex projects in a fast-paced environment
  • Familiarity with Microsoft Office Suite and document management systems, such as Concord or equivalent 

Required Education and experience: 

  • 5+ years experience in corporate legal operations, legal administration, or in-house   legal departments
  • Bachelor’s Degree in Business Administration or related field
