This role offers an exciting opportunity for an experienced attorney specializing in private fund formation and regulatory compliance in the digital asset space. The Crypto Funds Attorney will provide legal guidance across onshore and offshore fund structures, ensuring adherence to SEC regulations and other applicable laws. You will play a key role in structuring venture capital and crypto-focused investment funds, supporting token sale offerings, and advising leadership on regulatory strategy. The position provides flexibility with remote work while offering exposure to complex cross-jurisdictional legal challenges in a fast-moving and innovative industry. This role is ideal for someone who thrives at the intersection of law, finance, and emerging technology, and who enjoys advising on high-impact investment opportunities.
Accountabilities
- Lead legal aspects of fund formation, including drafting and negotiating limited partnership agreements, private placement memorandums, and subscription documents.
- Provide comprehensive product lifecycle counseling for a variety of platform products in the crypto space.
- Advise on regulatory compliance under SEC Regulation D (onshore) and Regulation S (offshore), ensuring adherence to applicable laws.
- Monitor and interpret emerging crypto-related regulations, including legislative initiatives such as the proposed Clarity Act.
- Offer strategic counsel to leadership and investment teams on fund structuring, compliance, and transaction strategy.
- Navigate cross-jurisdictional regulatory requirements, coordinating with international legal frameworks.
- Oversee ongoing legal matters post-fund launch, ensuring operations align with regulatory obligations.
Requirements
- 5–10 years of experience at a law firm, venture capital/private equity firm, or asset management firm, focusing on private fund formation and regulatory compliance.
- In-depth knowledge of SEC Regulation D (onshore) and Regulation S (offshore), with practical application in crypto investments.
- Familiarity with emerging crypto legislation and regulatory developments, including the Clarity Act.
- Juris Doctor (JD) degree from an accredited law school.
- Strong drafting, negotiation, and communication skills to translate complex legal concepts to non-legal stakeholders.
- Experience advising on venture capital or private equity funds in the digital asset space is preferred.
- Ability to work independently while collaborating with cross-functional teams in a fast-paced environment.
