Job Description

Overview:

In this position, the Senior Corporate Counsel, Commercial, will have the opportunity to do work that has an immediate impact on our employees, customers, and business. Successful candidates must be confident and have previous commercial contracts experience with a strong track record in managing a broad range of legal issues and interacting closely with business leaders. Responsibilities:

  • Advise the business leaders on various legal issues impacting the business with primary focus on commerical contracts and related matters.
  • Draft and negotiate a broad range of complex as well as routine commercial agreements, including:
    • Partner marketing agreements
    • Supply and vendor agreements, including IT and software services and licensing agreements.
    • Agreements and terms of service with contractors and other trades professionals.
    • Leases and facility services related contracts.
  • Create and update the Company’s form agreements, including in response to changes in regulations or in the business.
  • Perform legal review of, and draft updates to, consumer contracts and terms & conditions.
  • Advise on consumer-facing issues and review/revise related communications.
  • Maintain, update and provide training on the Company’s contract-related policies and procedures, including delegations of authority.
  • Ensure commercial agreements include all applicable compliance and data privacy provisions and draft and negotiate data processing agreements.
  • Lead or support the Company’s M&A activities, including due diligence, contract drafting and negotiation and integration.
  • Advise on financing-related and customer or vendor bankruptcy matters.
  • Provide legal support on a broad range of other corporate and operational matters and work with the Associate General Counsel and other members of the legal team in handling special projects.
  • Monitor and advise on any new legal and/or compliance-related developments that might affect the Company’s commercial matters.

Job Requirements:

  • Juris Doctor (JD) degree from an accredited law school and a member in good standing of any U.S. state or DC Bar (with ability to become CT Authorized House Counsel if located in Norwalk or TN In-House Counsel if located in Chattanooga).
  • 6+ years of corporate experience handling a variety of legal issues and providing legal advice to a diverse client base.
  • Experience must be related to areas of responsibilities and include progressively responsible management experience within a corporate environment.
  • Excellent communication, negotiation, attention to detail, drafting and analytical skills required.
  • The ability to work in an open team environment.
  • The ability to protect the Company while being embraced as a trusted business advisor and partner in finding appropriate business solutions.
  • Limited travel is required.
  • M&A experience preferred.

Salary Range (Norwalk, CT): $153,749.12 - $204,998.84

Salary Range (Chattanooga, TN): $125,794.74 - $167,726.32

Annual Bonus Potential: 25%
