Overview
We are seeking an experienced Securities & Corporate Counsel to join the legal department of our rapidly growing, public company. This role will focus primarily on securities law compliance, public company reporting, and capital markets matters, while also supporting general corporate and M&A transactions as part of a broader legal team. The position partners closely with senior legal leadership, finance, investor relations, corporate development, and external advisors.
Key Responsibilities
Securities & Public Company Compliance
- Advise on U.S. federal securities laws, SEC regulations, and stock exchange requirements
- Prepare, review, and coordinate periodic and current SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
- Counsel on disclosure obligations, earnings releases, investor presentations, and analyst communications
- Support capital markets transactions, including registered and unregistered equity and debt offerings
- Assist in maintaining disclosure controls and procedures and insider trading compliance programs
- Monitor regulatory developments and advise on their impact on the company
General Corporate & Governance
- Provide legal support on general corporate matters in coordination with other legal team members
- Advise on corporate governance matters, including board and committee materials, charters, and governance policies
- Support equity compensation programs and executive compensation disclosures
M&A and Strategic Transactions
- Support mergers, acquisitions, divestitures, and other strategic transactions
- Assist with securities and disclosure aspects of M&A transactions
- Participate in due diligence, drafting, and review of transaction-related documentation
- Coordinate with corporate development, finance, tax, and external counsel on transactions
Cross-Functional Collaboration
- Partner with internal stakeholders across finance, investor relations, accounting, HR, and corporate development
- Work under the guidance of Chief Legal Officer
- Manage outside counsel on assigned matters and support larger legal initiatives
Qualifications
- Juris Doctor (JD) from an accredited law school
- Active license and good standing in at least one U.S. jurisdiction
- 6+ years of experience practicing securities law and corporate law
- Significant experience with SEC reporting and public company compliance
- Experience supporting capital markets and M&A transactions
- Strong drafting, analytical, and communication skills
- Ability to work collaboratively
Compensation & Benefits
The applicable base salary for this opportunity is $210,000 - $260,000. The base pay offered will be determined by factors such as experience, skills, training, location, certifications, education, and any applicable minimum wage requirements. In addition to the base salary, this opportunity may be eligible for performance-based incentives.
