This position plays an important legal role in providing research and advice to the Legal Department.
Responsibilities
The Assistant General Counsel - Officer shall perform all functions usual and incidental to such position, including the following:
Provide legal advice and counsel to operating and service departments of the Bank.
Conduct legal research and provide legal advice to operating and service departments of the Bank. In this regard, the Attorney shall be designated as the main contact within the Legal Department with respect to certain matters to be determined from time to time by the Chief Legal Officer.
Review and draft transactional contracts and other documents generated by service and operating departments. Assist in the negotiation of such contracts, as appropriate.
In a timely and accurate manner draft opinions, memoranda, reports, and other documents on specially assigned topics relating to the Bank, the Federal Home Loan Bank System, the SEC, the Federal Housing Finance Agency, and other government agencies.
Become knowledgeable about Bank operating policies and legal records management.
Understand and follow the Bank’s credit underwriting frameworks. Develop knowledge of secured lending and bankruptcy including commercial bank and credit union receiverships and insurance company rehabilitations.
Assist in monitoring regulatory, legislative, and judicial developments that have significance for the Federal Home Loan Bank System and keep other Bank lawyers informed of such developments.
Represent the Legal Department at internal and external seminars and meetings, as requested.
Assist the Chief Legal Officer and other Bank lawyers in the administration of the department.
Perform special projects, as assigned.
Experience:
3-5 years of experience in the field of banking, corporate and/or commercial law.
Federal Home Loan Bank System, SEC reporting, mortgage banking and/or CFTC derivatives experience a plus.
Admitted to and in good standing with the New York and/or New Jersey State Bar.
Skills:
Familiarity with applicable business software (e.g., Microsoft Office).
Strong legal research skills, including research on electronic databases (e.g., Westlaw).
Strong communication skills, including the ability to write clearly and persuasively, express and present thoughts in an organized, clear and concise manner.
Strong contract drafting, negotiating and analytical skills.
Education:
Juris Doctor from an ABA-accredited U.S. Law School. An LLM in banking law, an MBA, or an undergraduate business, economics or accounting degree is a plus.
Salary range - $150,000 - $180,000
