ProspectBlue has partnered with a well-established law firm in Northern Virginia and is seeking a Transactional Associate Attorney to join its expanding business law practice. This role offers the opportunity to work closely with clients and senior attorneys on a broad range of complex commercial matters, serving businesses across various industries.

The ideal candidate will contribute to a diverse transactional practice that includes mergers and acquisitions, corporate financing transactions, commercial contracting, government procurement matters, technology-related agreements, and intellectual property transactions. Attorneys in this role will have meaningful responsibility throughout the lifecycle of transactions, from initial structuring and due diligence through negotiation and closing.

This position provides exposure beyond traditional corporate work, allowing attorneys to collaborate with colleagues across multiple disciplines, including labor and employment matters, government contracts, intellectual property, and commercial disputes. The firm fosters a collegial environment that emphasizes professional development, teamwork, and exceptional client service.

Key Responsibilities
Assist clients with a variety of corporate and commercial transactions.
Draft, review, and negotiate transaction documents, commercial agreements, and related legal instruments.
Conduct and manage due diligence reviews in connection with business transactions.
Coordinate and support transaction closings and post-closing activities.
Collaborate with attorneys across practice groups to provide comprehensive legal solutions.
Maintain direct communication with clients and contribute to strategic legal guidance.
Qualifications
Juris Doctor degree and active Virginia Bar membership, or eligibility for admission in Virginia.
Approximately 2–6 years of experience in corporate law, transactional practice, or a related area.
Demonstrated experience supporting mergers and acquisitions and other sophisticated business transactions.
Strong drafting, analytical, research, and communication skills.
Ability to manage multiple matters while producing accurate, detail-oriented work.
Self-motivated with a willingness to learn new subject areas and expand technical expertise.
Proven ability to work effectively within a collaborative, client-focused team environment.
