Job Summary

As a Corporate Paralegal you will be integral to the efficiency and compliance of our legal operations. This role is critical in supporting our legal team’s efforts to safeguard the company's governance standards and manage risk through meticulous documentation, rigorous compliance checks, and effective support. By ensuring the precision of contracts and the seamless coordination of corporate transactions, you help maintain the legal integrity that is fundamental to our strategic objectives. Your contributions are vital in optimizing legal processes and supporting broader business goals through enhanced legal readiness and operational support.

 

Essential Functions



  • Assist with the preparation, review, and filing of corporate governance documents, such as board minutes, resolutions, registers, share certificates, articles, and annual reports.
  • Maintain corporate records and databases, ensuring accuracy and compliance with applicable laws and regulations.
  • Conduct research on corporate compliance matters and provide summaries and analysis to support attorneys and other team members.
  • Support corporate and shareholder “Know Your Customer/KYC” requests from banks and regulatory agencies.
  • Gather information from business units necessary for the completion of contracts, agreements, and other legal documents, ensuring they comply with company policies and applicable laws.
  • Coordinate and facilitate corporate transactions, such as mergers, acquisitions, financings and corporate reorganizations, including due diligence and document management.
  • Assist in the preparation and filing of regulatory filings and compliance documents, such as tax filings and state registrations.
  • Provide administrative support to attorneys, including calendar management, scheduling meetings, and organizing documents and files.
  • Collaborate with internal departments and external stakeholders to gather information and documentation necessary for legal matters.

  • Exhibits exceptional time management and organizational abilities, capable of multitasking and managing multiple projects in a high-paced international setting.
  • Exceptionally proficient in written English, interpret and analyze detailed reports, produce impactful presentations, and manage a large volume of written correspondence.
  • Proven proficiency in conflict resolution, counseling, and mediation, coupled with exceptional motivational skills to inspire and lead high-performing teams.
  • Experience with contract management software or electronic billing systems
  • High ethical standards and committed to maintaining a high degree of confidentiality.
  • Understanding and appreciation of a diverse, international work environment, fostering an inclusive culture that values the contributions and growth of all team members.

 

Education and Experience Requirements

 

  • Associate’s degree from an ABA-approved paralegal education program or a bachelor’s degree preferred.
  • Certification, such as designation as a NALA Certified Paralegal or Advanced Certified Paralegal, National Federation of Paralegal Associations (NFPA) Registered Paralegal, or National Association for Legal Support Professionalism (NALS) Professional Paralegal, a plus
  • Past work experience in a corporate in-house legal environment or under the supervision of a licensed attorney with a corporate law focus.
