Job Description Summary
The legal department supports all of Enterprise, focused on supporting the following areas of business:Tax Credit Syndication – Enterprise forms funds with institutional investors, which funds invest in projects that generate low-income housing tax credits (“LIHTC”). The fund forms a limited partnership with the sponsor of the project.
Real Estate Funds – Enterprise forms real estate funds, which invest in affordable housing.
Asset Management – Enterprise asset manages the portfolio of projects in which the funds invest.
Loan Fund – Enterprise’s CDFI subsidiary, Enterprise Community Loan Fund provides innovative capital to connect affordable housing projects to community assets that expand resident opportunity.
Solutions – Enterprise implements programs and provides capacity building and technical assistance to mission-aligned organizations.
Job Description
The Senior Staff Attorney will work with our Deputy General Counsel in connection with the following:
- Provide legal support for the Asset Management Department, which includes advising on partnership agreements, resolving disputes with sponsors, reviewing loan documents, leases, easements and other real estate documents, and providing counsel on workouts and dispositions;
- Draft and negotiate partnership agreements with investors for upper-tier tax credit deals and private equity agreements for lower-tier partnerships;
- Draft and negotiate loan documents and complete settlement of loans for Enterprise Community Loan Fund;
- Perform other duties, as assigned, including for Enterprise Community Partners and the other divisions;
- Conduct legal research on various issues, as needed; and
- Occasional travel.
Qualifications:
- Undergraduate degree and J.D. or LL.M.; a minimum of two years of experience in-house or with a law firm doing transactional work;
- Experience as a transactional attorney and in particular, in drafting and negotiating partnership agreements, contracts, grant agreements and loan documents preferred;
- Experience with real estate, housing, public funding and low-income housing tax credits preferred;
- Excellent written and verbal communication skills;
- Ability to develop personal relationships with co-workers and clients;
- Strong critical thinking and analytical skills, including ability to define problems and strategize solutions while considering legal issues and risks; and
- Ability to work with multiple clients and establish priorities and desire to work in a team environment.

The base salary for this role is $ 130,000 to $ 150,000, depending on level of skills and experience.
The salary range for this position is represented by the low and high end of the range for the amount to be paid for the position. Salaries paid at Enterprise will vary based on factors that may include skills, education, location, experience, and performance.
