The hiring range for this opportunity is $159,000 to $214,000 annually along with incentive opportunities, creating a competitive total compensation package based on our pay scale, and may be modified by location and is commensurate with qualifications and experience.
We prefer someone who can work 100% in-office; however, we are open to a hybrid schedule for the right candidate.
POSITION SUMMARY
Senior Counsel – Commercial Lending / Workouts
Commercial Lending
Experienced financial services attorney with a strong background in commercial, commercial real estate and secured asset-based lending who can provide broad-based internal legal support and strategic advice to the commercial lending businesses of Tri Counties Bank:
- Providing immediate day-to-day legal advice to senior leaders, business units, and loan operations
- Providing legal support in structuring, negotiating and documenting commercial and commercial real estate loans and secured asset-based lending transactions ranging from approximately $1 million to $20 million or more.
- Assisting in counseling loan operations staff at all levels in interpreting loan documentation, booking and servicing of loans
Workouts / Special Assets
Responsibilities will also include legal support for related transactional matters such as bankruptcy and debtor-in-possession financing, workouts and restructuring, and, on a limited basis, litigation:
- Providing legal counsel to loss mitigation and recovery specialists in interpreting contract language, considering strategic alternatives, and advising on workout options
- Working with loss mitigation and recovery specialists as they interact with outside legal counsel, appraisers, and other professional advisors regarding troubled or defaulted commercial equipment leases and loans
- Preparing and revising standard loan workout documents
- Preparing and revising settlement agreements for matters which are not in litigation
- Working with asset management specialists to develop programs and documentation to remarket returned and recovered assets
General Responsibilities
- Reviewing legal contracts and documents
- Directly, or through staff, conducting legal research
- Coordinating with, and overseeing, outside counsel on matters requiring additional expertise or managing workflow.
- Developing subject matter expertise in assigned areas and providing strategic and practical legal advice and supporting the various assigned areas
- Analyzing laws/regulations and developments to evaluate impact on various business units
- Collaborating with business, risk, compliance and controls partners to issue spot and identify and escalate risks (legal, reputational or otherwise) and implement policy, process and procedural changes to comply with bank policy and changing laws/regulations
- Managing outside counsel in areas of focus
- Representing Bank in limited litigation matters
Skills:
- Candidates must possess excellent communication and drafting skills and demonstrate experience and confidence in risk identification and analysis, and risk management decision making.
- Must have JD and be licensed in the State of California (active/good standing).
- 7-10 years relevant experience in the financial services industry with emphasis on structuring, drafting and negotiating documentation for single lender and syndicated secured commercial and secured asset based credit facilities.
- Candidates must also have excellent written, oral and interpersonal communications skills, strong leadership, management, and organizational and project management skills, a strong commitment to client service and the ability to work in a team environment.
- Other necessary skills: excellent analytical, decision-making and problem-solving skills; advanced client management, diplomacy and people skills; advanced knowledge of operations of business unit(s), products, policies and relation to industry; computer / general Microsoft Office skills.
