Sr. Counsel, Privacy, AI & Data Governance

Reporting to the Assistant General Counsel, Global Privacy, AI & Data Governance, the Sr. Counsel is responsible for providing legal guidance and business partnership on general and healthcare privacy,  artificial intelligence and data governance.  Sr. Counsel, Privacy, AI & Data Governance will: (i) be the primary legal partner to VP of AI Transformation, leading governance activities across the organization; (ii) partner with product team to educate and implement Privacy by Design framework, maintain and mature the framework to ensure both compliance and privacy as a key differentiator; (iii) assess privacy,  AI and data governance matters relevant to the go to market, full product lifecycle process; (iv) collaborate on privacy,  AI and data governance with the legal colleagues on cross functional strategy for go to market process; (v) Work closely as a trusted legal business partner with IT security, product, engineering, quality, compliance and other internal business partners and outside counsel on privacy, ai, incident response and data governance; and (vi) lead negotiations on privacy and AI components of company agreements, including BAAs and DPAs from both a customer and service provider point of view.

Successful candidates will be independent, results-driven and client-focused. This is a remote role with limited travel for candidates who must be based in : Austin, TX; Dallas / Fort Worth, TX; Pittsburg, PA; or St. Petersburg, FL.  

Responsibilities:

  • Advise on legal aspects and governance of AI Transformation program.
  • Liaise with company AI steering committee and manage outside counsel assessments of AI.
  • Conduct and prioritize AI Conformance Assessments and Privacy Impact Assessments in full product lifecycle, from conception to adjustment to end of life.
  • Provide strategic legal input to product, engineering, compliance, and quality teams on privacy,  AI and data governance and best practices.
  • Liaise with IT security, product, engineering team on various privacy, security, incidents and remediation planning. 
  • Support and guide the company’s implementation, maturity and conformance with Privacy by Design principles in all respects.  
  • Advise on HIPAA/HITECH, GDPR, TCPA, BIPA, CCPA/CPRA, EU AI and other privacy and AI legislative and regulatory responsibilities and individual rights.
  • Negotiate and advise on strategy for legal Business Associate, Data Processing and AI Agreements or components.
  • Manage and coordinate certain IP maintenance with marketing team and outside counsel.
  • Collaborate and support various teams who investigate, prepare for, seek to avoid, monitor for, triage and respond to data incidents.
  • Collaborate and support privacy and ai due diligence with corporate transactions, such as mergers and acquisitions.
  • Collaborate with training team to train workforce on privacy and ai, along with other cross-functional business unit training possibilities.

 Required Knowledge & Skills:

  • Strong initiative and ability and willingness to learn and seek information
  • Ability to identify issues and to offer pragmatic, business forward, actionable solutions
  • Experience working within fast-growing healthcare technology companies and adaptability to evolving internal and business policies and procedures
  • Effective interpersonal and problem-solving skills
  • Ability to work autonomously and within teams, with ability to set, document and communicate prioritized goals and timelines to internal customers 
  • Attention to detail and well organized

 Basic Qualifications:

  • J.D.; member in good standing of a state Bar
  • CIPP/US, CIPP/E or CHPC
  • 7+ years of experience with HIPAA, US state Privacy and Privacy by Design, and incident response
  • Understanding of artificial intelligence and machine learning concepts and legal issues
  • Prior experience in healthcare organization, law firm healthcare or cybersecurity department or corporate legal/privacy department

 Preferred Qualifications:

  • AIGP  certification
  • Healthcare industry experience
  • Artificial intelligence experience
  • Project Management experience
  • Privacy/ai components of product development and life cycle management 

Work Conditions:

  • Remote with periodic in office or in shared office space as needed 
  • Flexibility in working hours as needed
  • Some travel, ~10%
