JOB SUMMARY
The Orbia Law Department is searching for an attorney to support the major transactions (licensing, M&A, joint ventures, etc.) and USA commercial work of the Koura Global business group. The role has primary responsibility in North America, but will be assigned projects in international jurisdictions, too. This person will be supporting the Growth & Technology group so a working knowledge of intellectual property and experience working with innovation groups is preferred. This position reports to the General Counsel of the Koura Business Group.
ESSENTIAL DUTIES, FUNCTIONS AND RESPONSIBILITIES:

- Leading critical processes in M&A and joint venture projects, such as due diligence and contract negotiation.
- The business works in an IP-rich environment, so this position would be responsible for commercial projects that include intellectual property licensing in and out.
- Negotiating, drafting, and advising on major commercial transactions.
- Reviewing, negotiating, and drafting commercial agreements of all types, with special attention to the sales and procurement areas.
- Analyzing a transaction’s risk to the business and ensuring that the contracts meet company’s risk profile and the business unit’s objectives.
- Consulting with personnel on a variety of legal issues.
- Other duties as may be assigned by the General Counsel.
- Creating contract templates, clause banks, and involvement in other similar efficiency-improving projects.
- Working with the businesses to establish and maintain a contract administration process, including the storage/retrieval of contracts, as well as the monitoring and documenting of renewal or termination of contracts.
- Establishing and maintaining database of real estate properties.
- Interacting with other functions to obtain relevant input for transactions and projects.
- Keeping abreast of changes in United States law and regulations, and working with the businesses to respond to such changes.
- Regularly gathering and reporting data on various topics, such as contractual activity and outside counsel fees.
- Training the staff with respect to contract and other legal topics.
- Training the staff regarding compliance with applicable laws and company policies.
- Working directly with other members of the Law Department as appropriate.
- Supporting Law Department projects and initiatives.
REQUIRED EXPERIENCE AND QUALITIES:
- Experience in mergers and acquisitions or joint ventures, including managing due diligence and contract negotiations.
- Experience advising, negotiating, and drafting complex commercial transactions, including projects with a licensing component.
- Excellent contract drafting skills. An expert grasp of contract concepts, together with a strong ability to apply them practically.
- Superior analytical and organizational skills.
- A willingness and ability to accept a high level of individual responsibility.
- The experience and judgment to prioritize projects so as to meet business objectives and competing deadline requirements.
- High technology acumen, including experience with contracts databases and electronic storage of pertinent agreement terms and commitments.
- The ability to communicate concisely and effectively both orally and in writing.
- The ability to quickly understand business objectives of a transaction, identify important issues, and manage negotiations so as to achieve the business goals.
- Good understanding of insurance and risk management concepts is preferred.
- Experience with international contracts is desirable.
- Knowledge of logistics, customs, and export-control requirements is desirable.
- Ability to analyze new law, regulation and contract trends for potential impact on business unit goals and objectives.
- Strong desire to learn Mexichem’s businesses.
- Commitment to the importance of integrity and compliance.
- Ability to travel to business locations per business needs (up to 25%).
REQUIRED EDUCATION/CERTIFICATES/LICENSES
- Law degree from an ABA accredited law school in the United States.
- License to practice law in at least one state.
- Professional experience in combination of law firm and in-house positions.
- Experience advising manufacturing clients (chemical manufacturing is a plus).
