Job Description

Ram Realty Advisors LLC acquires and develops retail, multifamily, and mixed-use properties in select high-growth markets throughout the Southeast. The investments are capitalized by Ram-sponsored discretionary private equity funds and institutional co-investment vehicles. Since 1996, Ram has deployed in excess of $4.8 billion of capital. Essential Duties and Responsibilities: 

Due Diligence Coordination and Facilitation:

· Facilitate, gather, and ensure that all items have been received and reviewed by appropriate internal parties; assist with maintenance of due diligence checklists for acquisitions, dispositions and loan closings.

· Assist in maintenance of the Legal Department calendar tracking all contract deadlines for acquisitions and dispositions and litigation deadlines. 

· Assist with maintenance of log of post-closing obligations and deadlines for acquisitions, dispositions and loan closings and ensure that post-closing obligations are satisfied by the responsible internal party.

· Draft corporate resolutions, written consents and certifications for acquisitions, dispositions and loan closings.

Insurance Coordination:

· Assist General Counsel with portfolio insurance renewal; track status of on-going insurance requirements and manage filing of documentation. Monitor payment of premiums and refunds.

· Facilitate requests for insurance quotes.

· Assist with management of insurance claim process with third party property managers and insurance agents; report claims as needed, obtain documentation of damage to Ram properties, follow up with claims specialists, adjusters and attorneys assigned to claims or the defense of complaints.

General Administrative Responsibilities:

· Assist with maintenance of log tracking status of lawsuits filed.

· Assist with maintenance of legal department electronic files for all Ram properties and entities.

· Assist with management and tracking of corporate filings for all Ram entities, including annual reports and business licenses.

· Update the legal department signature spreadsheet and entity log with new entity filings; prepare documents for signature, ensure proper signature blocks, and obtain signatures. 

· Act as Notary.

· Submit all legal invoices for processing, track payments and distribute as needed.

· Work with Legal Associate and any other paralegals to assist with commercial leasing documentation and filing.

· Work with the administrative team to provide coverage for the front desk, as needed.

Requirements

These requirements represent the education, knowledge, skill, certifications/licensure and/or ability required to perform the job satisfactorily. Reasonable accommodations may be made to enable individuals with disabilities to perform the essential duties noted above.

· Bachelor’s degree from an accredited four-year college or university preferred.

· Paralegal certification a plus.

· A minimum of 5 years of experience in a legal environment with an emphasis on commercial real estate acquisitions and dispositions.

· Florida Notary Public License. 

· Proficiency with Microsoft Office suite of software, specifically including extensive experience with Word and Outlook.
