Our client, an AmLaw 100 and Vault 100 law firm, is seeking a Finance Associate Attorney to join its practice in Minneapolis, or Philadelphia. This is an exciting opportunity to work on complex finance transactions for a diverse range of institutional clients, including commercial banks, private equity firms, investors, and developers.
Candidate Profile:

JD from a top-tier law school with a strong academic record.

Active Bar Admission in the relevant jurisdiction.

5–6 years of substantive experience handling complex finance transactions, including syndicated and portfolio transactions.

Strong understanding and working knowledge of Article 9 of the UCC and bankruptcy code across all phases of commercial finance transactions.

Experience with workouts, restructurings, M&A, and private equity transactions is a plus.

Strong legal research, writing, and analytical skills with exceptional attention to detail.

Ability to manage multiple transactions simultaneously and work both independently and as part of a team.

Excellent client-facing skills and a proactive approach to business development.
Key Responsibilities:

Represent institutional lenders, private equity firms, commercial banks, and other financial clients in complex finance transactions.

Structure, negotiate, and document various financing arrangements, including secured and unsecured loans, syndicated loans, and structured finance transactions.

Provide legal counsel on bankruptcy and restructuring matters related to commercial finance.

Conduct due diligence, draft transaction documents, and oversee deal closings.

Collaborate with colleagues and clients to develop innovative financial solutions and risk mitigation strategies.

Stay informed on evolving finance laws and regulatory developments affecting institutional clients.
