This is a unique opportunity for an attorney with a strong transactional background to support diverse stakeholders throughout the world in a brand-new company. This role reports into the SVP, Deputy General Counsel, Corporate and Corporate Secretary, who has global legal responsibility for corporate governance, mergers & acquisitions, financing, compensation and benefits, procurement and real estate, and will support across the entire spectrum of these responsibilities. The role requires a candidate who is collaborative, is comfortable operating in a fast-paced environment, understands how to be nimble and prioritize their workload appropriately, has sophisticated legal skills and wants to partner with their business stakeholders to drive the business forward.
Essential Duties and Responsibilities:
- Provides legal support to business stakeholders on various corporate transactions including mergers, acquisitions, divestitures, joint ventures, real estate transactions and other commercial arrangements, and coordinates legal due diligence and other disclosures relating to such transactions.
- Supports complex financial transactions globally including credit facilities, debt offerings, derivatives and other credit support arrangements, domestic and international subsidiary restructurings, capitalizations, cash repatriation and other financial transactions.
- Works closely with the SVP, Deputy General Counsel, Corporate and Corporate Secretary to provide legal advice and counsel on corporate governance and compensation and benefit matters and assists with the preparation and review of materials distributed to the Vantive Board and other key subsidiary boards.
- Works with procurement (i) to provide legal advice on contracts and other legal matters related to direct and indirect purchasing activities and external contract manufacturing, and (ii) to develop long and short-term solutions for vendor relationships and other matters facing procurement taking into account the current and future needs of procurement and Vantive’s business.
- Works collaboratively and proactively with Vantive regional counsels and cross-functional business partners to provide legal support and to identify and mitigate risk on all the foregoing matters, and from time to time will lead cross-department and cross-functional teams to address complex issues.
- Effectively and cost efficiently manages and directs outside counsel as needed to support the execution of projects, transactions or other matters.
- Provides regular training and guidance to business partners and to other attorneys and support staff within the Legal Department on specialized areas of knowledge, relevant laws and other important legal developments.
- Develops a thorough understanding of and familiarity with Vantive’s business, its people, markets, facilities, customers and competitors, in order to identify trends and formulate appropriate transactional structures and strategies.
- Performs special assignments or projects assigned by the SVP, Deputy General Counsel, Corporate and Corporate Secretary.
Qualifications:
- Knowledge and understanding of key terms and concepts in transactional and commercial contracting.
- Experience in addressing multinational legal issues.
- Strong communication skills and proven ability to effectively develop key partnerships with clients and other individuals.
- Exhibits critical thinking, sound judgment, the ability to view issues holistically, balancing benefit and risk to make decisions that are in the best interests of the business, and being a genuine team player that willingly collaborates, and can take on additional and varied responsibilities as business needs dictate.
- Ability to function in a high paced legal environment and to proactively develop strategies to ensure efficient and effective counsel.
Education and/or Experience:
- JD or international equivalent from a nationally or internationally recognized institution.
- At least 5 to 7 years of progressive experience, focused on general corporate and transactional experience with a major law firm and ideally also a mid-to-large size corporate law department.
- Proven experience of successfully working with the management team as a business partner contributing to the success of the business.
- Preferably, prior experience counseling clients in the medical devices and/or pharmaceuticals industry.

At Vantive, we are committed to equitable pay for all employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $224,000 to $280,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based upon location, skills and expertise, experience, and other relevant factors. This position is also eligible for a discretionary bonus, and long-term incentive.
