Position Overview:
The Paralegal is responsible to assist the General Counsel and other attorneys by providing various support services, including maintaining corporate records (contracts and other documents), handling matters related to the Board of Directors (minutes, written consents, entity formation etc.), compliance matters (vendor due diligence and licenses), document preparation and review, research, investigation, filing, and fact checking. The ideal candidate is detail-oriented and a self-starter with strong administrative, organizational, communication and writing skills.
Position Responsibilities:
- Assist General Counsel and other attorneys in day-to-day matters of the legal department (processing legal billings and accruals) and assist General Counsel in ensuring compliance with federal and state laws.
- Assist General Counsel in handling matters related to the Board of Directors (i.e., Board calendar, minutes, written consents and other matters).
- Ability to assist the General Counsel or handle Section 16 reports and obtaining EDGAR codes with the Securities and Exchange Commission.
- Assist with legal billings and accruals.
- Assist with obtaining any applicable licenses and vendor due diligence and processing.
- Assist the Legal Department with reviewing, preparing, and interpreting legal contracts, letters of agreement, and other documents related to a variety of business, product, financial, and operational matters.
- Coordinate legal due diligence and assist in organizing relevant back-up materials to support compliance related matters and contracts.
- Perform a wide variety of administrative functions, including compiling and proofreading legal and compliance documents, updating records, filing and record keeping, and preparing and sending mailings.
- Assist in reviewing and ensuring the Company’s compliance with related laws, regulations, and/or contractual obligations.
- Other duties as assigned.
Other Functions:

- Assist in developing, producing, and conducting legal and compliance training programs.
- Assist in the identification, analysis, and resolution of compliance matters.
- Ability to multi-task, be organized and ability to make deadlines.
Basic Qualifications:
- 5+ years’ experience working as a paralegal and/or executive assistant with legal, corporate compliance, and/or legal entity management.
- Notary Public qualification (or willingness to obtain).
Desired Qualities:
- Experience working in C-Suite and dealing with executives and Board of Directors.
- Ability to perform the Essential Duties and Other Functions detailed above.
- Ability to write reports and business correspondence.
- Ability to effectively present information and respond to questions from various departments.
- Must be detailed oriented and focus on keeping deadlines.
