About the role:
Join Trellint's dynamic and fast-paced environment as a Legal Counsel, where you will support Trellint's Legal needs and ensure that organization-wide business strategies, policies, and programs are developed and applied in full recognition of all legal implications and risks, including the formation of internal policies to ensure compliance with applicable law. This role will report directly to Trellint’s General Manager and manage contract negotiations and execution, and assure protection of the Trellint's intellectual property, business, and legal interests within appropriate legal constraints whilst working on cutting edge issues. The Legal Counsel will also assist in legal areas ranging from general corporate and compliance matters, employment, and litigation. Experience in public sector contract procurement, software licensing contracts, are requirements for this role. Knowledge of UK legal matters is an added benefit.
Duties/Responsibilities:
Provide accurate and timely advice to key business stakeholders in a variety of legal topics that cross multiple geographies.
Work in coordination with, and in guidance of Modaxo Traffic Management Group Legal Counsel, and other business team partners.
Be pragmatic and impartial. Apply effective risk management techniques, and offer proactive, practical advice on legal and strategic business issues.
Be diligent and proactive. Have strong legal skills and demonstrate excellent legal and business judgment and strategic thinking, along with the ability to work independently.
Review and negotiate customer and vendor requests for proposals (RFPs), identify proposal requirements, review terms and conditions for acceptability and compliance with company policies and procedures, assist in proposal development as , and participate in securing required management approval for submittal of proposals to customers and vendors
Draft, review and negotiate a wide variety of contracts, as well as helping to manage day-to-day legal needs.
Perform contract/subcontract review, negotiate and interface directly with customer/vendor contracting personnel.
Work with management, sales, finance, HR, and service teams to manage and structure contracts, and assist with providing unique legal advice specific to each function.
Analyze contracts and policies to ensure compliance with law, company policy, government specifications, and business goals.
Assure the timely communication of legal and contract information with management and other stakeholders and maintain complete and accurate contract files.
Assist with the integration of acquired assets and businesses, including developing processes, procedures, training and education of business standards.
Conduct research and analysis on legal and contractual matters to ensure compliance with applicable laws, regulations, and company policies.
Assist in identifying opportunities for process improvements in the legal team and contribute to the implementation of best practices.

Education and Experience:
University degree in law is . Qualified candidates must have been called to the Bar (in Canada, or the USA)
JD from an accredited law school
5+ years of professional work as a lawyer.
Experience working with public agencies, with particular experience in reviewing, drafting responses and negotiating public procurement agreements with State or municipal governments.
Experience creating and supporting legal processes and internal controls.
Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure.
Strong commercial law skills and experience, including familiarity with software licensing agreements, public procurement, and contract negotiation.
Experience with working in a team and managing upwards.
Previous experience at a technology company, with IT contracts is a plus.
