About Role
Howden Group North America is seeking a dynamic and experienced Legal Counsel with a minimum of 3 to 7 years of experience in corporate transactional and regulatory law to support our (re)insurance brokerage, broker-dealer, and underwriting agency operations. This role is critical in providing transactional support, corporate governance and secretarial assistance, regulatory guidance, and risk management advisory services. The successful candidate will work closely with business leaders and teams across the U.S., Bermuda, the United Kingdom, and Europe to ensure compliance and enable business growth.
Key Responsibilities:
• Transactional Support:
- Draft, review, and negotiate transactional documents for corporate and regulatory initiatives, including client service and fee agreements, technology licensing agreements, and other agreements needed by the business (e.g., sales, client services, technology, and analytics).
- Build scalable contracting processes, contracting templates and ensure quality control while working closely with business, legal and compliance colleagues to understand business goals and risks.
• Corporate Governance:
- Provide corporate governance and secretarial support to ensure compliance with internal policies and external regulations.
- Assist in preparing and filing regulatory documentation as required.
- Working closely with the business and other colleagues to understand business operations and drive improvements in corporate governance and compliance practices across business units.
• Regulatory and Compliance Advisory:
- Offer legal advice on regulatory matters impacting (re)insurance brokerage, broker-dealer, and underwriting agency activities and work with the business and colleagues in other functional areas to drive legal and regulatory compliance.
- Collaborate with compliance teams to develop and implement policies.
- Conduct risk assessments and advise on potential legal risks to maintain proper corporate governance.
• Legal and Business Collaboration:
- Partner with the business units to address legal and regulatory needs.
- Manage and collaborate with external legal counsel.
- Foster coordination and escalation of legal and regulatory issues impacting the business.
- Provide general counseling and advice to the business and colleagues in other functional areas of Howden Group.
• Training and Education:
- Deliver internal presentations and training on legal topics.
- Provide insights and legal research on emerging areas of law relevant to the business.
- Relationship Management:
- Cultivate and maintain positive relationships with internal clients, external counsel, and other key stakeholders.
Qualifications
• Education and Licensing:
- Juris Doctorate from an accredited law school with strong working experience in business organizations, agency law, transactional law, and legal research.
- Active license to practice law.
• Experience and Skills:
- Minimum of 5 years of experience in corporate transactional and regulatory law.
- Proficiency in navigating insurance, reinsurance, broker-dealer, capital markets regulations or other financial services would be considered positive experience but is not necessary.
- Strong drafting, negotiation, and communication skills (both written and verbal).
- Experience managing external legal counsel and delivering practical and timely business solutions.

The expected base salary range for this role is $150,000-200,000. The base salary range is based on level and does not include other types of compensation such as discretionary bonus or benefits.
