The Corporate Counsel (Transaction Manager) at Berkadia is responsible for overseeing all legal aspects of real estate transactions, including the drafting, reviewing, and negotiating of closing documents. This role ensures compliance with legal standards and regulatory requirements specific to real estate closings and works primarily with Berkadia’s Proprietary Lending Group. Corporate Counsel (Transaction Manager) collaborates closely with internal teams and external parties to facilitate smooth and legally compliant transaction closures, addressing any legal issues that arise during the closing process.

  • Oversee the legal aspects of real estate transactions, ensuring all closing documents are properly drafted, reviewed, and executed.
  • Negotiate terms and conditions of real estate deals, working closely with internal stakeholders and external parties such as clients, brokers, and financial institutions.
  • Ensure compliance with federal, state, and local laws, as well as company policies, throughout the closing process.
  • Identify and mitigate legal risks associated with real estate transactions, providing strategic legal advice to prevent potential disputes.
  • Coordinate with title companies, surveyors, and other relevant parties to ensure all necessary documents and reports are accurate and complete.
  • Manage and resolve any legal issues that arise during the closing process, including disputes or discrepancies in contract terms.
  • Facilitate communication between all parties involved in the closing process, ensuring clarity and alignment on legal requirements and timelines.
  • Serve as a legal liaison with the company’s capital sources.
  • Maintain up-to-date knowledge of changes in real estate law and industry practices that could impact the company’s closing procedures.
  • Provide training and guidance to other departments on legal standards and best practices related to real estate closings.
  • Prepare and maintain reports and documentation related to real estate transactions for internal records and compliance audits.
  • Other duties as assigned. 

We are passionate about your growth, so to achieve success in this role you should have: 

  • Proven experience in handling real estate finance and similar type closings, with expertise in drafting, negotiating, and reviewing legal documents related to property transactions. 
  • Deep understanding of federal, state, and local real estate regulations and compliance requirements. 
  • Excellent negotiation and communication skills, capable of effectively managing relationships with various stakeholders and resolving complex legal issues. 
  • Strong analytical and problem-solving skills, with the ability to identify legal risks and develop strategic solutions in the context of real estate transactions. 
  • Master's degree or equivalent 
  • 5+ years of experience in a similar position 
  • Juris Doctorate Degree 
  • Actively licensed in good standing to practice law in at least one U.S. jurisdiction.
