IP Infusion, Inc. is looking for a Legal and Compliance Manager who will play a pivotal role in the Company’s legal and regulatory compliance, commercial transactions and intellectual property portfolio management. This position will span a broad range of compliance, transactional, legal and intellectual property matters, including export classification, sanctions diligence, cross-border shipments, software and technology exports, and other related risk management functions, as well as transactional support and intellectual property portfolio management, working closely with the Company’s outside counsel. The ideal candidate will serve as a critical advisor to the Company’s compliance strategy, ensuring that business activities are compliant with applicable U.S. law and regulations, and will support internal teams on classification, diligence, risk assessments, screening of customers and end users, commercial transactions, including license agreements, and general intellectual property matters.
Required Experience 
  • Experience in U.S. trade compliance requirements, including full working knowledge of EAR and OFAC regulations and specific experience in classification analysis. Prior work at or supporting a software company that operates in the international marketplace is a significant benefit.
  • Proficient knowledge of and prior compliance work with the Export Administration Regulations (EAR) and Office of Foreign Assets Control (OFAC) sanctions requirements.
  • Strong leadership skills with a focus on sustaining a culture of compliance across all business functions and the ability to manage multiple assignments with limited supervision are required.
  • Experience in reviewing and commenting on commercial agreements, including technology license agreements and related statements of work, from a compliance perspective.
  • Experience in working with outside counsel on legal and regulatory compliance, transaction documents and other legal work.
  • General management of legal affairs, including legal and regulatory compliance, implementation of compliance policies and procedures, transaction support and guidance, general intellectual property matters and serving as the primary contact for outside counsel.
  • Ability to balance business objectives with compliance requirements and appropriate risk mitigation.
  • Excellent communication and interpersonal skills, with the ability to work effectively with cross-functional teams and stakeholders.
Job Responsibilities The following examples provide a non-exhaustive list of job responsibilities that will be expected of any candidate for the position. Specific performance standards and evaluative criteria will be finalized upon a review and finalization of the candidate’s employment offer: 
  • Oversee the Company’s compliance with U.S. trade compliance laws and regulations, including but not limited to the EAR and OFAC regulations.
  • Develop and implement strategic compliance processes and solutions to manage U.S. trade compliance and drive continuous improvements.
  • Monitor, synthesize, and explain the effect of changes in applicable trade regulations to relevant stakeholders in terms of their potential and actual impact on the business.
  • Engage and work closely with outside counsel to address compliance matters in a purposeful, efficient, and cost-effective manner.
  • Conduct export classification analyses for Company products subject to U.S. export controls in coordination with engineering and technical teams and prepare formal classification submissions with outside counsel as necessary.
  • Assess, prepare, and submit export license applications as needed and manage license and agreement compliance.
  • Screen third parties and conduct related due diligence at the outset of the relationship and on an ongoing basis.
  • Design and conduct investigations and internal audits to identify risk areas and potential issues and implement corrective actions and strategies to manage and improve the Company’s compliance posture.
  • Maintain records in a form and format that aligns with legal and regulatory requirements and interpretive guidance.
  • Interface with government agencies, such as the Bureau of Industry and Security (BIS) and OFAC, as necessary to ensure compliance with regulatory requirements.
  • Work closely with outside counsel on transaction documents, including reviewing and commenting on such documents from a compliance perspective and supporting the Company’s sales team on screening and other action items necessary to complete transactions on a timely and effective manner.
  • Carry out the Company’s export controls and sanctions compliance policy and procedures, identify any instances where the Company may not be following such policy and procedures, and promptly report to the CFO and outside counsel.
  •  Collaborate with the Company’s technology and engineering teams and outside counsel on intellectual property portfolio development and management. 
  • Support the administration of Board of Directors and stockholder meetings, including working with outside counsel in preparing minutes of Board or stockholder meetings and/or written consents, making corporate filings and maintaining corporate records.
  • Facilitate administrative, regulatory or corporate filings with governmental authorities for company registrations and compliance and assist with other corporate governance matters.
  • For any questions, advice or any other legal support, consult with and seek advice from the Company’s primary outside counsel at Morgan Lewis & Bockius (MLB). 
  • Report to the CFO to control and manage the Company’s budget for legal fees and costs, including prosecution, maintenance and filing costs.
  • Coordinate and collaborate with and report on key compliance or legal issues to the legal, audit, and administration departments at the headquarters of the parent company based in Tokyo, Japan.
 
Educational and Professional Certifications 
A U.S. Bachelor’s degree or equivalent is required. A Master’s degree or relevant professional experience, such as with a company in a software or comparable technology industry, law firm, or U.S. Government agency with cognizant authority over international trade or sanctions matters, is preferred.
Compensation
 
The compensation package for the Compliance Manager is competitive and commensurate with a candidate’s overall experience. It will include [a base salary, potential incentives, and a comprehensive benefits package]. The Salary range for this role is $110,000 - $180,000/ annual salary. Salary is negotiable for the right candidate. Specific details regarding compensation and benefits will be discussed with the employment candidate during the hiring process.
