Job Description

We are looking for a highly skilled and detail-oriented Corporate Paralegal to join our team. The ideal candidate will have experience in corporate law, including mergers and acquisitions, corporate governance, and compliance. As a Corporate Paralegal, you will be responsible for coordinating with and assisting external attorneys in preparing legal documents, conducting research, and ensuring that the company complies with all applicable laws and regulations. You will play a crucial role in maintaining corporate records, managing due diligence processes, and supporting various legal and business initiatives. The successful candidate will possess excellent organizational skills, a strong understanding of corporate law, and the ability to work effectively in a fast-paced environment. You will be expected to handle sensitive information with the utmost confidentiality and demonstrate a high level of professionalism in all interactions.
 
This role requires a proactive approach, attention to detail, and the ability to manage multiple tasks simultaneously. This person will assist with the preparation of meetings, including preparation of agendas and distribution of materials. Creates, updates and maintains corporate and legal forms, documents, reports, policies and procedures, corporate governance documentation and spreadsheets. Assists in the creation of presentations and updates and maintains databases.  Coordinates and tracks various business filings.  Assists with legal discovery and document management associated with litigation.  Manages various projects as determined appropriate and assigned.
 
Other Duties and Responsibilities:
  • Create organizational documents, including articles of incorporation or dissolution, stock certificates and merger agreements.
  • Review and draft contracts.
  • Create and distribute annual reports.
  • Assist with paperwork needed by regulatory bodies.
  • Respond to requests for Information.
  • Assist with ethics and compliance programs.
  • Perform legal research.
  • Review, track, and monitor legislation that impacts the company’s products and/or processes.
  • Update leadership with timely analysis and summaries of new legislation/regulations affecting the business.
  • Assist in implementing changes to contracts to comply with legislation/regulations.
  • Provide support related to litigation, mediation, arbitration, and responses to complaints.
  • Renew and maintain company licensing.

Requirements:
  • Bachelor's or Paralegal degree required.
  • Requires 3-5 years of relevant experience.
  • Experience with matrix organization and complex work environment preferred.
  • Basic proficiency in MS office (Word, PowerPoint, Excel) is required.
  • Experience billing your time.
  • Excellent written and verbal communication skills.
  • Superb attention to detail, as well as organizational and multitasking skills.
