
The Subsidiary Management Paralegal will play a critical role in supporting the legal department by managing the governance and compliance of the company’s domestic and international subsidiaries. This position will ensure adherence to corporate governance standards, maintain corporate records, and coordinate with internal and external stakeholders to ensure effective subsidiary management. Based in Raleigh, NC, this role offers an exciting opportunity to work in a dynamic, fast-paced environment with a focus on operational excellence and legal compliance.
Responsibilities:
1. Corporate Governance and Compliance
- Maintain and update corporate records, including articles of incorporation, bylaws, minutes, and other key documents for domestic and international subsidiaries.
- Ensure compliance with all applicable laws, regulations, and internal governance standards related to subsidiary operations.
- Support the preparation and filing of annual reports, resolutions, and other regulatory filings for subsidiaries.
2. Entity Management
- Oversee the lifecycle of subsidiaries, including formation, dissolution, mergers, and name changes.
- Collaborate with external counsel and registered agents to manage filings, certifications, and other legal requirements for subsidiaries.
- Maintain a centralized database of subsidiary information, ensuring accuracy and accessibility.
3. Cross-Functional Collaboration
- Work closely with the finance, tax, and compliance teams to address entity-related needs and resolve issues.

4. Process Improvement and Efficiency
- Develop and implement best practices for subsidiary governance and management processes.
- Proactively identify opportunities for process improvements, automation, and enhanced compliance tracking.
- Stay informed on changes in corporate governance laws and regulations, advising the legal team on potential impacts.
5. Board and Stakeholder Support
- Assist in organizing and posting board meeting materials.
- Manage the execution and retention of board and shareholder minutes.
Qualifications:
- Education:
- Associate or bachelor’s degree in a related field required
- Experience:
- Minimum of 5 years of experience as a corporate paralegal, with a focus on subsidiary management and corporate governance.
- Familiarity with domestic and international entity management processes and compliance requirements.
- Skills:
- Proficiency with entity management software and tools (e.g., Diligent Entities, GEMS, or similar).
- Strong organizational skills with exceptional attention to detail and accuracy.
- Excellent written and verbal communication skills.
- Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
Preferred Qualifications:
- Experience in a multinational corporation or law firm.
- Familiarity with regulatory requirements in multiple jurisdictions.
- Knowledge of corporate secretarial practices and best practices for board governance.
