Associate Transactional Attorney
Location: San Juan Capistrano, CA (Onsite)
Status: Full-Time, Exempt position.
Compensation: $126-$145K, (DOE).
Bonus: Commensurate with experience and company performance.
Stock Options: Potential awards granted at semi-annual compensation committee board meeting.

About the Opportunity
To support local, regional and executive leadership in all aspects of skilled nursing and assisted living M&A and other transactions including: due diligence, bid/offer assembly, contract preparation, and assistance with due diligence and integration. This position also lends itself to other functions within ESI for corporate organization, capital markets transactions, lease administration, and equity and investor relations.

Duties and Responsibilities:
- Acquisitions
- Assist in document preparation for various transactions, including purchases, leases and transfer of operations.
- Assist in the integration process for new acquisitions, in collaboration with company executives and regional operational leadership.
- Performance of due diligence, with acute attention to detail and clear communication of relevant details to executive and regional leadership.
- Assist in meetings/discussions with executive, regional, and local leadership regarding acquisition integration process.
- Assist in press release review and preparation.
- Corporate Organization
- Oversee corporate organization and good standing.
- Work with licensing and other members of the transactions team regarding various corporate fillings.
- Capital Markets Transactions
- Document review and drafting for various company financings, including HUD financing, corporate credit facilities and intercompany financings.
- Assist in the due diligence and other deliverables required in connection with various financings.
- Lease Administration
- Assist in document review and drafting for lease amendments, purchase options, lease extensions, easements, etc.
- Work with lease accounting team to track lease expirations, amendments, purchase options, etc.
- Equity and Investor Relations
- Assist in review of required SEC filings related to equity.
- Assist in preparation of resolutions and press releases for quarterly dividends.

Experience/Qualifications:
- 1+ years transactional and/or M&A legal related experience required.
- Juris Doctor degree.
- Strong analytical skilled, exceptional organizational skills, and excellent verbal/written communication skills.
- General M&A process-orientation.
- Acute attention to detail.
- Ability to review documents and articulate legal and business issues clearly and concisely.
- Ability to present complex concepts in a clear, concise manner (verbally and written).
- High degree of comfort and interacting with senior executives.
- Strong presentation skills for one-on-one executive briefings.
- Highly sophisticated user of Word, Excel, and PowerPoint.
- Healthcare sector experience is preferred but not required.
