Realty Income is hiring a Corporate Securities Legal Counsel, who will focus on daily operational support in the Company’s corporate functions, and support the company’s Senior Vice President, Associate General Counsel, & Assistant Secretary, and the Corporate Legal Department. This Corporate Legal Counsel will work closely and independently with the Company’s Sustainability Department, Environmental, Social, and Governance Reporting Taskforce, and the Accounting Department with the preparation and review of domestic and international sustainability regulatory filings, disclosures, and other initiatives. They will work closely with the Company’s Investor Relations and Financial Reporting Departments in the review of the Company’s public disclosures. The role will also be a primary resource for the Company’s Corporate Paralegals managing the Company’s U.S. subsidiaries.  
 
What you will be working on:
Sustainability Reporting
  • Assist in the preparation, review, compliance, and filing of domestic and international sustainability regulatory filings, disclosures, and other initiatives.
  • Collaborate with internal and external teams in the preparation and review of such filings and disclosures.
  • Horizon scanning of the changing regulatory landscape that may impact the Company’s sustainability filings and disclosures.
Corporate and Securities Matters
  • Assist with other U.S. Securities and Exchange Commission reporting as well as oversight of all Section 16 filings and with the annual meeting process.
  • Provide legal review of all other public disclosures including on the Company’s website, social media, and press releases.
  • Collaborate with finance, investor relations, compliance, and other teams on corporate filings and governance requirements.
  • Assist with corporate actions and initiatives, including entity formations, amendments, mergers, and dissolutions, and coordinate with corporate paralegals to ensure compliance with regulatory requirements.
  • Support the Corporate Secretary function, including oversight of U.S. entity management, oversight of the accuracy of the Company’s entity management database, coordination with corporate paralegals regarding the same, and assisting with KYC, due diligence, and other similar requests.
  • Coordinate with investment and tax teams in establishing the organizational structure of transactions.
  • Collaborate with the Corporate Finance team with respect to hedging and other derivative transactions.
  • Provide timely guidance to internal stakeholders on legal requirements, obligations, and best practices for corporate governance.
  • Help maintain and establish desktop procedures, templates, checklists, and documents for the corporate legal department.
  • Collaborate with the Compliance department on corporate and sustainability-related policies and procedures.
  • Support efforts to enhance efficiency within the legal department by streamlining workflow, utilizing technology, and identifying process improvements.
  • Horizon scanning of the changing regulatory landscape that may impact the Company’s other U.S. SEC filings and NYSE listing requirements.
Leadership
  • Provide direction and support to corporate paralegals, fostering a collegial and professional environment focused on accuracy, efficiency, and development.
  • Collaborate with other legal team members to identify opportunities for professional growth and skills development within the corporate legal group. 
  • Develop, oversee, and monitor applicable budget(s). 
 
Must Have knowledge, skills and abilities for this role:
  • Juris Doctorate law degree from an accredited U.S. law school with strong academic credentials.
  • Active membership in good standing in the State Bar of one’s state of employment. 
  • We expect 3+ years of relevant legal experience, including direct experience in corporate governance and securities compliance.
  • We expect 3+ years of experience in U.S. public company reporting, corporate contracting, and entity formation at a large U.S. law firm.
  • Will consider a combination of training, experience, skills, and other characteristics that would provide the requisite knowledge and abilities in support of the essential job functions.
 
Desirable but not required:
  • Experience with U.S. and/or international sustainability reporting.
  • Experience in domestic and international sustainability voluntary and/or regulatory reporting.

The base salary for this role is in the range of $120,386 – $216,325. You may be eligible for an annual discretionary bonus and an annual discretionary stock award, (dependent on date of hire) to be discussed during the initial phone interview. Base salary and total compensation package determined by the candidate's experience, knowledge, education, skills, performance, and abilities, as well as internal equity, company performance, and alignment with market data.
