We are seeking a Senior Corporate Paralegal to be an integral part of the Legal team for AscellaHealth. This position will support counsel in business and corporate legal matters. In this role, they will perform a wide range of high-level transactional work and responsibilities with board meetings and minutes. The successful candidate should have a strong background in corporate law and be able to manage various tasks and deadlines.
The right person for our Senior Corporate Paralegal position will have significant prior experience and will also be a quick and eager learner. This role requires self-motivation, ownership mentality, strong communication, independent judgment, and excellent client-relationship skills.
This position is a hybrid position with three (3) days per week in-office work as a focus and work-from-home opportunities.

What the position will be doing
- Prepare Board and committee meeting agendas and materials, attend meetings, and draft resolutions and meeting minutes.
- Assist in AscellaHealth Board functions, corporate governance, and governance activities of AscellaHealth subsidiaries.
- Draft and review legal documents for corporate transactions.
- Conduct thorough research and due diligence for corporate transactions, ensuring meticulous record keeping and maintenance compliance with state and federal regulations.
- Facilitate completion of commercial contracts or contract amendments.
- Responsible for legal agreements and documents pertaining to business development, mergers and acquisitions, and other relevant legal agreements.
- Act as a liaison between in-house counsel and outside counsel when necessary.
- Responsible for keeping accurate documentation and accounting of business transactions.
- Perform legal research, writing, and analysis, as assigned by counsel.
- Project manage legal projects or legal work to support business development.
- Complete regulatory filings as needed.
- Renew and maintain company registrations and licensing.
- Monitor changes in applicable laws and regulations.
- Other legal support duties, as required.
- Perform other related duties as assigned or necessary; remain flexible and adaptable in work schedules and assignments as defined by departmental and organizational needs.
- A Bachelor’s degree in law, business administration, or a related field of study is required.
- A paralegal certificate is preferred.
- Ten (10) or more years of experience with an in-house legal department or law firm, including experience in corporate law, commercial transactions, and M&A.
- Ten (10) or more years of experience supporting board activities, corporate governance, and corporate business matters.
- Excellent written and verbal communication skills.
- A strong analytical mind with strong critical thinking and research skills.
- Exceptional interpersonal and problem-solving skills with strong attention to detail.
- Willingness to work on a broad range of legal matters.
- Self-motivated, able to work well under pressure, prioritize workload, facilitate solutions, and meet deadlines for assigned projects.
- Flexibility and ability to balance multiple tasks and competing priorities accurately and efficiently.
- Works well under pressure and has a high level of attention to detail
- Dedication and a commitment to professionalism, teamwork, collaboration, and mutual respect.
- Demonstrate integrity, strong interpersonal-relationship skills, the ability to use judgement, tact, and discretion.
- Ability to maintain strict confidentiality.
- Proficient with MS Office Suite or related software
