This role is fully in-office and based at our Houston, TX corporate location. Job Overview: This position supports field operations and corporate legal evaluations, monitors sensitive risk/financial-related data for trends, and evaluates legal/contractual documents for compliance with terms and conditions. This position reports to the General Counsel. Key Responsibilities: Review, negotiate, and draft service agreements between the company and customers to ensure terms and conditions meet the company’s contracting requirements. Review, negotiate, and draft vendor agreements to ensure terms and conditions meet the company’s contracting requirements. Review, negotiate, and draft real estate agreements to ensure terms and conditions meet the company’s contracting requirements. Provide advice on internal risks and liabilities relating to general operations, sales, and procurement-related matters. Conduct thorough assessments and provide guidance to leadership on corporate governance matters and regulatory compliance issues to minimize potential legal exposure to the institution. Collaborate with internal and external customers, vendors, landlords, and others, along with external counsel, to ensure that business interests are properly aligned in contract negotiations and execution. Develop and maintain positive relationships with internal stakeholders, external vendors, clients, and partners, ensuring effective communication and dispute resolution. Stay current on industry developments, regulations, and best practices to proactively advise and protect the institution’s interests. Assist with other general corporate legal matters as assigned. Primary Qualifications: Juris Doctor (JD) from an accredited law school, or related work experience in a legal role required. Admission to the Texas bar preferred. Experience in handling corporate legal work, including real estate, preferred. Experience in either the transportation or financial services industries is a plus. Individual Skills & Competencies Strong understanding of corporate governance, risk management, and liability mitigation strategies. Exceptional interpersonal and communication skills, with the ability to work collaboratively with internal teams and external stakeholders. Ability to think strategically to solve complex legal issues. Highly organized, with strong attention to detail and the ability to manage multiple priorities in a fast-paced environment. Proficient in contract management software and Microsoft Office Suite (Excel pivot tables a plus).
