Role Outline

· The Corporate Paralegal is responsible for conducting legal research and assist in drafting contracts, memoranda, legal opinions, and related documents. Support VP, Legal in managing case and transaction files, organizing discovery, and responding to claims/disputes.

· Perform fact gathering, document review, and background investigations in connection with legal issues or proceedings.

· Review, edit, and maintain various contracts and legal documents.

· Assist in updating policies, procedures, and internal documents.

· Organize and manage corporate governance materials and legais records for CPNA

· Prepare, track, and process legal invoices and billing matters.

· Manage VP legal calendar, deadlines, and task workflows.

· Attend legal-related meetings and external proceedings alongside VP Legal, providing support as needed.

· Schedule meetings, handle confidential information, and maintain organized digital and physical legal files

· Organize corporate records and conduct due diligence reviews

· Review and analyze commercial/vendor contracts and agreements to flag key legal, commercial, and risk-related terms

· Route, track and manage contract lifecycle and documentation in coordination with internal stakeholders

· Support internal counsel at all stages of employment and/or other dispute resolution

· Perform legal research

· Update legal department contract templates, trainings, and tools (including content for Legal SharePoint site)

Educations, Certificates, Licenses, and Registrations

· Bachelor’s degree and a Juris Doctor (J.D.) from an accredited U.S. law school.

· 5+ years as an attorney or 10 years as a paralegal

Salary Range: This position's estimated annual base salary is $127,801.00 - $173,000.00. Actual base salary will be dependent on an individual’s skills, qualifications, and experience. This role is eligible for 401k Savings plan, Healthcare (medical, dental and vision), and other generous rewards.
