Job Description

Position Summary

 Under the supervision of the Deputy General Counsel and Corporate Secretary, the Corporate Governance Specialist and Paralegal provides support to that role, the Legal Department and other company functions.  Performs a variety of duties pertaining to corporate and legal matters, including dealing with confidential matters and performs supervisory duties pertaining to administrative assistant personnel as applicable.  The nature and scope of the responsibilities of this position require the keeping of the duty of confidentiality, professionalism, discretion, initiative, independent judgment, and a high degree of tact and prudence.

Specific Responsibilities:

  • Key areas of responsibility include the following:
  • Performs duties related to the drafting and compilation of board materials and uploading to board portal.
  • Assists with the filing of reports with the Securities and Exchange Commission (SEC), including Section 16 securities ownership filings, proxy statement, and form 8-Ks.
  • Assists with Board and annual meeting material preparation processes.
  • Assists with M&A and company financing activities including organizing and maintaining M&A documentation.
  • Performs duties related to contract management and risk management and performs duties related to department and company records.
  • Performs duties related to claims procedure and documentation, discovery requests, subpoenas, litigation support, department invoice processing, and legal department spend.
  • Oversees subsidiary governance and entity management system, including the timely renewal of state and local licenses and permits.
  • Prepares correspondence, memoranda, board and committee resolutions, minutes, and written consents.
  • Performs basic legal research and remains current with governance updates.
  • Analyzes legal documents; maintains a working knowledge of legal terminology, contract types, company policies, office operations and practices.
  • Performs other legal and administrative duties not requiring the expertise or licensing of an attorney in a timely fashion with attention to detail and quality.

Required Knowledge, Skills & Abilities:

  • Strong interpersonal skills.
  • Experience with uploading and creating documents in Diligent and/or Boardvantage, or a similar board portal.
  • Experience with creating and filing SEC filings in Wdesk, or a similar database, preferred.
  • Ability to learn the policies and procedures pertaining to the role.
  • Organize, prioritize and complete work to meet deadlines.
  • Use independent judgment within established guidelines.
  • Establish and maintain effective working relationships.
  • Express self clearly and concisely both verbally and in writing; deal tactfully and effectively with the public and company personnel.

Credentials:

  • Five years of related experience.
  • Bachelor’s degree and/or paralegal certificate preferred.
  • Prior successful experience working in the legal department of a public company is required. 

 

 

Location: 

This position may report out of any of the following subsidiary locations of H2O America: San Jose Water (San Jose, CA), Texas Water (New Braunfels, TX), Connecticut Water (Clinton, CT) or Maine Water (Saco, ME). Preference would be given to candidates with the above mentioned subsidiary locations, but candidates outside of these subsidiary locations residing within the US may be considered. 

Salary:  
California:  $110,466- $198, 798/annually
Connecticut: $87,720- $157,896/annually
Maine: $87,720- $157,896/annually 
Texas: $82,722- $148,920/annually
