Key Responsibilities:
As a Corporate Attorney, your duties will include:
Regulatory Compliance:
- Ensure compliance with all federal, state, and local laws governing automotive sales, financing, advertising, and environmental regulations.
- Monitor and advise on changes in laws and regulations affecting the automotive industry.
Contract Management:
- Draft, review, and negotiate sales agreements, financing contracts, vendor agreements, and service contracts.
- Assist in negotiations with suppliers, lenders, and partners to secure favorable terms.
Employment Law:
- Advise on hiring practices, employee contracts, benefits, and termination procedures.
- Ensure compliance with labor laws, including wage and hour laws, workplace safety, and anti-discrimination statutes.
Litigation and Dispute Resolution:
- Represent the company in legal disputes with customers, employees, or other businesses.
- Manage outside counsel when necessary.
- Engage in mediation or arbitration to settle disputes out of court.
Real Estate Transactions:
- Manage legal aspects of acquiring or leasing property for dealership locations.
- Navigate local zoning laws and obtain necessary permits.
Corporate Governance:
- Ensure the company's operations align with corporate statutes and LLC regulations.
- Advise on issues related to the board of directors and member relations.
Intellectual Property Protection:
- Protect the company's brand names, logos, and marketing materials.
- Handle agreements related to the use of proprietary technologies or software.
Consumer Protection Laws:
- Ensure that sales and advertising practices comply with FTC regulations and the Truth in Lending Act.
- Address legal issues arising from customer complaints or disputes.
Financial Services Regulation:
- Comply with regulations related to offering financing options to customers.
- Ensure accurate reporting and handling of customer credit information.
Risk Management:
- Develop internal policies to minimize legal risks.
- Advise on insurance coverage and manage claims.
Data Privacy and Security:
- Ensure compliance with laws related to the handling of personal information.
- Advise on measures to protect against data breaches and cyber attacks.
Qualifications:
The ideal candidate will have:
- Active Membership in the Maryland Bar Association: Must have been a member for at least 2 years.
- Juris Doctor (JD) Degree: From an accredited law school.
- Experience: Minimum of 2 years of corporate legal experience, preferably in the automotive industry or a related field.
- Knowledge of Relevant Laws and Regulations: Strong understanding of federal, state, and local laws affecting the automotive industry.
- Excellent Communication Skills: Strong verbal and written communication abilities.
- Negotiation Skills: Proven ability to negotiate contracts and legal agreements effectively.
- Analytical and Problem-Solving Skills: Ability to analyze complex legal issues and provide practical solutions.
- Organizational Skills: Excellent time management and organizational abilities.
- Trustworthiness and Confidentiality: High degree of integrity in handling confidential and sensitive information.
- Proficiency with Legal Software and Microsoft Office Suite: Familiarity with legal research tools and document management systems.
- Ability to Commute/Relocate: Ability to reliably commute to Sterling, VA, or plan to relocate before starting work (required).
