The Commercial Contracts Counsel will serve as EPC Power’s primary commercial contracts attorney, handling a diverse range of commercial agreements including procurement and sales contracts, vendor contracts, service agreements, and NDAs across our renewable energy manufacturing business, including utility-scale energy storage systems and projects supporting data center infrastructure. They will provide practical, business-focused legal advice that accelerates contract closure while protecting EPC Power's interests. This role will work closely with the General Counsel and Assistant General Counsel as part of a collaborative, three-person legal team where each member plays a vital role in supporting the company’s rapid growth and diverse legal needs. While this attorney will handle the majority of commercial contracts work, the General Counsel and Assistant General Counsel will remain involved in commercial agreements.
This position is hybrid-based in San Diego, CA. Fully remote work will be considered exclusively for candidates with demonstrated complex commercial contracts experience in renewable energy and/or manufacturing sectors.
Responsibilities:
- Draft, review, and negotiate a high volume of commercial agreements, including procurement and sales contracts, vendor contracts, supply agreements, service agreements, NDAs, and other commercial contracts
- Handle commercial terms including pricing mechanisms, delivery schedules, performance guarantees, warranty provisions, and risk allocation in commercial transactions
- Develop and maintain contract playbooks and template agreements to streamline commercial processes and reduce negotiation cycles
- Support sophisticated commercial transactions for utility-scale energy projects and data center power infrastructure contracts
- Collaborate with Sales and Procurement leadership on deal strategy, risk assessment, and commercial structuring for transactions
- Ensure regulatory compliance in commercial agreements, including industry-specific regulations
- Manage commercial supplier and customer relationships from a legal perspective, including master agreements, framework contracts, and ongoing contract administration
- Identify and communicate commercial risks to leadership with practical recommendations for risk mitigation related to commercial transactions, delivery performance, and contract compliance
- Support operations with contract interpretation, dispute resolution, and day-to-day commercial legal questions
- Handle duties as assigned to support EPC Power's legal and business functions
- JD with strong academic credentials and active membership with at least one state bar, ideally California
- 6 to 9 years of legal experience with substantial focus on commercial contracts, preferably in-house or advising companies at a reputable law firm
- Proven track record negotiating commercial agreements including supply, procurement, sales, and strategic partnership contracts
- Experience with sophisticated commercial contracts including product warranties, delivery terms, performance guarantees, and commercial risk allocation
- Strong business acumen with ability to balance legal risk against commercial objectives in fast-paced environment
- Comfortable working as part of a small, collaborative legal team where versatility, initiative, and cross-functional support are essential
- Self-directed and organized with outstanding written and verbal communication skills and ability to manage multiple transactions simultaneously while meeting tight deadlines and explain complex legal concepts to business stakeholders
Preferred Qualifications:
- Commercial contracts experience in manufacturing or renewable energy industries (required for remote work consideration)
- Experience with utility-scale energy projects, battery energy storage systems, or data center power infrastructure
- Experience with both buy-side and sell-side commercial relationships and understanding different risk profiles and negotiation strategies
- In-house experience at a growth-stage company
- Experience with contract lifecycle management (CLM)
