JOB DESCRIPTION:
Corporate Counsel
Position Summary:
This position is a key member of the Knorr-Bremse Rail North America business and its North America Legal Department supporting the company and its newly acquired conventional signaling business unit (“KB Signaling”).
Essential Functions:
- Developing strong partnerships with KB Signaling, North American rail business leadership, and internal clients to assist with executing its strategic and business plans while managing risk.
- Supporting the legal functions for the KB Signaling operating unit, provide secondary support for the rest of the Knorr-Bremse Group's North American rail entities, and participate as a member of the KB North America and global KB Group Legal Department.
- Handling the review, drafting, and negotiating of all types of contracts, agreements, letters of intent, memoranda of understanding, leases, and licenses impacting various business areas, including project contracts, public procurement, and bid opportunities. Identify and counsel on all applicable risk-shifting provisions on multiple contracts by KB Group guidelines, including principles of antitrust compliance.
- Supporting KB Signaling and the North American rail operating units of Knorr-Bremse Group in establishing, administering, and training on comprehensive business and legal processes, particularly with respect to governmental and regulatory compliance requirements and programs of the KB Corporate Compliance Policies and organization.
- Supporting sourcing contracting processes, including assisting with drafting and negotiating supply contracts; support the drafting of standard PO terms and conditions; provide counsel and advice in evaluating disputes; and drive process for timely and cost-effective dispute resolutions.
- Providing counsel and advice to the KB Signaling and rail businesses in developing strategic relationships, including drafting and negotiating transaction documentation and supporting legal due diligence with respect to mergers and acquisitions and alliances with strategic partners as applicable.
- Coordinating internal efforts and direct outside counsel to efficiently and cost-effectively handle evaluation and management of litigation activities; manage approved litigation budgets. Drive conflict resolution processes, including alternative dispute resolution as applicable.
- Supporting HR labor and employment legal matters and HR compliance issues.
- Supporting annual insurance and risk-management internal or external audits as applicable.
- Assisting in drafting/proposing, maintaining and updating business and Legal department policies and procedures for the KB rail organization.
- Additional responsibilities as requested or required.
Knowledge:
- Knowledge of general commercial contract law. Familiarity with the legal risks and concerns related to the design and manufacturing processes used to produce mechanical components.
- Familiarity with managing general corporate governance, record books, drafting corporate minutes, preparing resolutions, etc.
- Familiarity with regulatory and/or internal compliance laws, policies and procedures.
- Familiarity with transit and freight rail industries and/or wayside signaling a plus.
Experience:
- 5-10 years of broad-based legal experience as in-house counsel with a multi-national corporation and/or with a law firm with international practice. Experience with manufacturing, transportation, and public bid law is a plus.
- Certificate of Licensure: Member in current good standing with at least one state bar association.

- Demonstrated ability to distinguish relevant facts, assimilate and analyze supporting facts and apply legal principals to risk analysis and business options.
- Demonstrated ability to clearly translate into lay terms and effectively communicate legal advice that affects business opportunities and drives practical solutions.
- Ability to prioritize work and demonstrate a strong bias for action within a dynamic work environment.
- Excellent verbal and written skills, including and the drafting, reviewing and negotiating of various commercial contracts and agreements. Exceptional negotiation skills.
- Deep experience with general commercial contract law.
- Experience with public and private procurement bidding and contract processes.
- Experience managing litigation matters to resolution, outside counsel and budgets.
- Experience with conflict resolution, mediation and arbitration matters.
- Ability to manage internal compliance programs and reporting obligations as required.
- Ability to forecast and manage internal and departmental budgets as required.
- Ability to train business partners and leadership on applicable compliance, contracting, best practices and risk-shifting as applicable.
- Experience with general corporate antitrust matters and compliance.
- Experience managing or supporting in-house HR labor and employment matters a plus.
- Experience with mergers & acquisitions, divestitures and the management of due diligence and electronic data rooms a plus.
- Commitment to high standards of quality and ethical behavior.
- Proficiency with Microsoft® Office™ suite of products, including Word™, Outlook™, PowerPoint™ and Excel™.
Education:
Juris Doctor degree from an accredited U.S. law school, and currently admitted to practice law in at least one U.S. state required.
Position Requirements:
Ability to travel both domestically and internationally as required. Estimated travel less than 25%.

The base pay range for this role is $101,760 to $152,640 USD. The company reasonably expects to pay within that range, however, KB Rail North America considers several factors when extending an offer, including but not limited to, the role and associated responsibilities, a candidate’s work experience, location, education/training, and key skills.
