Position Summary
The Hillwood Legal department is currently seeking to hire a Corporate Paralegal to join our growing legal team centralized in Dallas. Texas. The Paralegal will report to our Associate Corporate Counsel and will support all aspects of Hillwood’s business.
The individual will be expected to take on certain higher-level duties such as serving as the main contact within Legal, Corporate and all Business Unites to ensure all entity obligations are abided by and critical dates are met.
Responsibilities
Entity Formation, Governance and Maintenance:
- Manage the formation, organization, maintenance, and dissolution of legal entities across multiple jurisdictions, including the drafting and maintaining of organizational and governance documents such as certificates of formation, operating and partnership agreements, bylaws, consents, resolutions, and other corporate records.
- Manage ongoing corporate governance and compliance requirements, including annual reports, assumed-name filings, business licenses, good-standing requirements, and officer, director, and manager elections, appointments, and resignations.
Corporate Transactions and Closings:
- Provide paralegal support for acquisitions, dispositions, joint ventures, financings, and other corporate and real estate transactions.
- Coordinate corporate aspects of transaction closings.
- Draft and coordinate authorizing resolutions, written consents, incumbency certificates, officer certificates, certified organizational documents, certificates of good standing, and other corporate closing documents.
Financing and Loan Support:
- Provide corporate paralegal support for financing and loan transactions.
- Prepare officer certificates, authorizing consents and resolutions, incumbency documentation, and other organizational documents required in connection with financings.
- Assist with Know Your Customer and related due diligence requests.
Intellectual Property:
- Support the administration and maintenance of Hillwood's federal and state trademark portfolio.
- Monitor trademark filing and renewal requirements and coordinate new filings, renewals, and other trademark matters with internal stakeholders and outside intellectual property counsel.
Cross-Functional Coordination:
- Serve as a key point of contact for corporate entity and governance matters across Legal and Hillwood's business units.
Required Skills and Abilities
- Strong knowledge of corporate entity formation, governance, maintenance, and compliance requirements.
- Working knowledge of corporate and transactional legal documentation and closing processes.
- Exceptional organizational and project-management skills with the ability to manage multiple matters, stakeholders, and deadlines simultaneously.
- Strong attention to detail and commitment to maintaining complete and accurate legal records.
- Demonstrated ability to work independently, exercise sound judgment, take ownership of responsibilities, and proactively drive matters to completion.
- Strong analytical and problem-solving skills with the ability to identify issues and determine appropriate next steps.
- Excellent written and verbal communication skills.
- Strong interpersonal skills and demonstrated ability to build effective working relationships across multiple functions and levels of an organization.
- Ability to effectively coordinate with internal clients, attorneys, outside counsel, governmental agencies, and third-party service providers.
- Ability to prioritize effectively and remain responsive in a fast-paced environment with competing deadlines.
- High degree of professionalism, discretion, integrity, and ability to appropriately handle confidential and sensitive information.
- Strong proficiency with Microsoft Office applications and demonstrated ability to effectively utilize legal databases, document-management systems, and other technology.
Education and Experience
- Bachelor's degree and/or paralegal certificate from an accredited program preferred.
- Minimum of 5 of relevant corporate paralegal experience within a law firm, corporate legal department, or comparable professional environment.
- Demonstrated experience with corporate entity formation, governance, maintenance, and multi-jurisdictional compliance.
- Experience supporting corporate transactions, financings, mergers and acquisitions, and/or real estate transactions strongly preferred.
- Experience preparing corporate resolutions, consents, organizational documents, officer certificates, and related legal documentation.
- Experience managing corporate records, legal databases, organizational charts, and recurring compliance requirements.
- Familiarity with intellectual property and trademark administration preferred.
- Commercial real estate or real estate development experience is a plus.
