
Job Description
Position Summary: The Paralegal will provide comprehensive legal and administrative support to the Chief Executive Officer (CEO) and the executive team of a health center. The role requires a strong understanding of healthcare law and corporate governance to ensure the organization's legal compliance and to protect its interests. The Paralegal will manage legal and corporate documents and assist with regulatory filings.
Duties and Responsibilities:
- Manage and maintain the company's corporate governance portfolio, including corporate records, shareholder information, and board of directors' documents.
- Assist with the preparation and filing of corporate documents, such as articles of incorporation, bylaws, and annual reports.
- Prepare for and organize board and committee meetings, including drafting agendas, compiling meeting materials, and recording minutes.
- Draft, review, and revise corporate resolutions and other official records
- Conduct legal research on federal and state healthcare regulations, including HIPAA, Stark Law, Medicare, Medicaid, and fraud and abuse laws, to include South Carolina laws and regulations.
- Monitor proposed legislation and regulatory changes to keep the CEO and executive team informed of potential impacts.
- Assist with the preparation and filing of necessary regulatory documents and licensure applications.
- Support compliance audits and internal investigations by organizing and managing relevant documentation
- Draft, review, and negotiate various contracts and agreements, such as vendor contracts, service agreements, and real estate contracts.
- Assist with due diligence for corporate transactions, including mergers, acquisitions, and other business development initiatives.
- Maintain and manage a database of all contracts, ensuring they are properly executed and archived.
- Handle high-level administrative tasks with a keen sense of discretion and confidentiality.
- Manage legal and sensitive documents in both paper and electronic formats.
- Coordinate special projects assigned by the CEO and legal counsel

Skills and Qualifications:
- Education: An associate or bachelor’s degree in paralegal studies or a related field, or a paralegal certificate from an ABA-approved program.
- Experience: 3+ years of experience as a paralegal, with specific experience in a healthcare or corporate legal setting preferred.
- Knowledge: Strong knowledge of corporate governance, healthcare laws, and regulations (including HIPAA), and general legal procedures.
- Organizational and Communication: Excellent organizational, time-management, and written and verbal communication skills.
- Technical: Proficiency with legal research databases (e.g., Westlaw, LexisNexis), Microsoft Office Suite (Word, Excel, PowerPoint), and legal document management software. Familiarity with Electronic Health Record (EHR) systems is a plus.
- Professional: High degree of professionalism, meticulous attention to detail, and sound judgment when handling sensitive and confidential information.
