
Summary;
The Corporate Attorney will play a critical role in ensuring legal compliance, mitigating risks, and supporting the General Counsel and company’s strategic objectives. This role requires a thorough understanding of corporate law, regulatory requirements, and contracts, particularly in the manufacturing sector. The ideal candidate will possess strong problem-solving skills, attention to detail, and a proactive approach to managing legal challenges in a fast-paced environment.
Responsibilities:
- Draft, review, and negotiate contracts, including vendor agreements, supplier contracts, NDAs, licensing agreements, and other commercial documents.
- Ensure compliance with federal, state, and local laws and regulations, including those specific to the manufacturing industry (e.g., OSHA, environmental regulations).
- Identify potential legal risks and provide strategies to mitigate or manage those risks effectively.
- Advise on corporate governance matters, including board resolutions, corporate policies, and compliance with corporate formalities.
- Provide legal guidance on employment-related issues, such as contracts, disputes, and regulatory compliance.
- Oversee and manage litigation, disputes, and investigations involving the company, working with external counsel when necessary.
- Protect the company’s intellectual property by advising on trademarks, patents, copyrights, and licensing agreements.
- Support mergers, acquisitions, and joint ventures by conducting due diligence, drafting transaction documents, and providing strategic advice.
- Conduct training sessions for employees on legal topics such as compliance, contracts, and ethical business practices.
Education and Experience:
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing in Texas.
- Minimum of 5–8 years of experience practicing corporate law, preferably with experience in the manufacturing sector.
- Strong background in contract negotiation, corporate governance, and compliance.
- Exceptional analytical and problem-solving skills.
- Excellent written and verbal communication abilities.
- Strong organizational skills and ability to manage multiple priorities.
- Proficient in legal research and document drafting.
- Familiarity with manufacturing industry regulations and standards.
- Willingness to travel occasionally as required.
Physical Requirements:
- Ability to reach, stand, walk, use fingers, grasp, feel, talk, hear, see and perform repetitive motions.
- Sedentary work: Exerting up to 10 lbs. of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body. Sedentary work involves sitting most of the time.
- Ability to reach with hands or arms, stand, walk, use hands or fingers, grip, grasp, feel, talk, hear, see, climb or balance, stoop, kneel, crouch and crawl and to perform repetitive motions.
- Ability to sit at a desk and operate computer for extended periods of time.
- The ability to lift and carry 15 lbs. on a regular basis is required and at times lifting up to 25 lbs. may be required.
