Title:                            Associate Corporate Counsel

Reports To:                 Corporate Counsel     

Location:                     Florida

The experienced Associate Corporate Counsel, under the direction of the Vice President, Legal Affairs & General Counsel, will be primarily responsible for providing expert counsel on a wide array of legal issues. He or she will provide guidance and opinions on legal issues presented during the normal course of business. He or she will advise and act as an advocate for the company while providing professional support and assistance to various internal business units, as well as for the ownership and management of the organization’s franchise disclosure and documentation processes. The ideal candidate would also be responsible for the day-to-day administration of franchise and related agreements, and advising internal business units on the interpretation, application and enforcement of those agreements.

Job Duties

 

  • Advise internal departments on legal responsibilities.
  • Participate in negotiations and mediations and advise relevant internal departments on results.
  • Draft, revise and/or edit a wide variety of agreements for various departments throughout the organization.
  • Coordinate the preparation and execution of franchise disclosure documents, franchise agreements, ensuring filing deadlines are met, draft amendments, addendums and all related correspondence.
  • Coordinate and collaborate with company affiliates and personnel based in Canada, the United States, Europe and Australia.
  • Advise internal business units regarding marketing and promotions, trademark use, filings and renewals, and implement recommendations as necessary.
  • Monitor and maintain compliance with franchise disclosure, trademark, and advertising laws.
  • Search for and analyze contracts and other legal documents to investigate facts and advise relevant internal departments on the rights and obligations of the company, its franchisees and other business partners.
  • Communicate with and instruct external counsel.
  • Tracking all steps of the workflow and providing updates to members of the legal team as required.
  • Other duties, relevant to the position, shall be assigned as required.

Requirements

  

  • Applicant must be a member in good standing with the American Bar Association licensed to practice law in at least one US state.
  • Bachelors or college degree required.
  • Completion of law school from an ABA accredited law school.
  • At least 1-3 years of direct work experience in corporate law preferred.
  • Strong knowledge of, and ability to explain and apply basic contractual and other legal concepts.
  • Critical thinking, analysis, and strong research skills are essential.
  • Demonstrated ability to stay organized and work effectively and efficiently in multi-tasking environment with high volume workload and minimal supervision.
  • Superior interpersonal skills to interact with the senior management team and other company personnel, external counsel, other professional advisors and service providers.
  • Strong sense of ethics and the ability to handle sensitive or private information with tact and discretion.
  • Ability to maintain filing systems and various databases.
  • Good research skills on the Internet and traditional sources of information.
  • Excellent writing skills, including proper spelling, grammar and punctuation for complex documentation.
  • Proficient in the use of Microsoft Office 365 products including Word and Excel.
  • Ability to work long hours with tight deadlines and overtime as required.
  • Travel as required.
  • Ability to attend presentations, meetings, and corporate conferences as needed.
