As a Commercial Counsel for Verily, you will work directly with a team of experts from the fields of biology, engineering, computer science, health economics and more on commercial transactions that support groundbreaking projects.
ResponsibilitiesSeamlessly integrate with the Verily team, partnering closely with product and patent counsel to drive company initiatives.
Provide expert advice to clients on complex deal structures, contractual legal issues and risks, company approval processes, policies, procedures, and negotiation strategies.
Draft, review, and negotiate a wide range of agreements, including SaaS, licensing, collaboration, clinical studies, data use, strategic partnerships, joint ventures, and supply/manufacturing, ensuring alignment with Verily's policies and risk tolerance.
Deliver timely and clear legal guidance to science, engineering, and business clients, effectively translating complex legal concepts into actionable insights.
Contribute to the continuous improvement of standard form agreements and legal processes, enhancing efficiency and effectiveness within Verily.
Minimum Qualifications
JD degree or equivalent education.
Licensed to practice law in a US jurisdiction.
5+ years of experience in tech transactions, particularly with SaaS agreements.
Preferred Qualifications
Proven experience in a law firm or in-house legal department, specifically supporting life sciences transactions, SaaS agreements, including IP and commercial deal structuring, and advising science and engineering teams.
Familiarity with joint venture deal structures and related issues within the life sciences industry.
Demonstrated strong communication skills and experience effectively collaborating with cross-functional teams.
Excellent organizational skills with the ability to manage a high volume of requests, balance competing priorities, and handle multiple time-sensitive projects simultaneously.
Ability to be flexible, self-directed, and thrive in a fast-paced environment with limited direction.

The US base salary range for this full-time position is $188,000 - $268,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
