Job Title: Legal Assistant – Corporate Law
Location: Las Vegas, NV
Job Type: Full-Time
Reports To: Senior Corporate Counsel / Managing Partner

About the Role:

We are seeking a highly organized, detail-oriented Legal Assistant with experience in corporate law to join our legal team in Las Vegas. The ideal candidate will provide administrative and legal support to attorneys specializing in corporate governance, mergers and acquisitions, contract review, regulatory compliance, and other business-related legal matters.

Key Responsibilities:

Prepare, draft, and proofread legal documents including contracts, resolutions, corporate filings, and correspondence

Assist attorneys with the formation, dissolution, and maintenance of corporate entities, including LLCs, partnerships, and corporations

Manage and organize corporate minute books, stock ledgers, and entity records

Coordinate and file documents with the Nevada Secretary of State and other regulatory agencies

Conduct basic legal and factual research as directed by attorneys

Maintain case and transaction files, calendaring deadlines and ensuring timely follow-ups

Assist with the preparation and tracking of annual reports, business licenses, and compliance filings

Liaise with clients, government agencies, and internal departments as needed

Provide general administrative support including scheduling meetings, answering phones, and handling correspondence

Qualifications:

2+ years of legal assistant or paralegal experience, preferably in corporate or business law

Knowledge of Nevada corporate filing requirements and procedures strongly preferred using Silverflume.

Strong understanding of corporate governance, business entities, and legal terminology

Proficiency in Microsoft Office Suite (Word, Excel, Outlook), and legal software such as Clio, NetDocuments, or equivalent

Excellent written and verbal communication skills

High level of professionalism and confidentiality

Strong organizational and time management skills with the ability to prioritize tasks

Associate's degree or Paralegal Certificate preferred; equivalent work experience accepted

Preferred Qualifications:

Experience working in a law firm or in-house legal department in Nevada

Bilingual (English/Spanish) a plus
