Summary/Objective
Performs a variety of general and specific legal duties in supporting the day-to-day activities of the Legal Department and its internal and external clients, including contract review and negotiation, legal compliance research and reports, and prioritizing multiple competing priorities. Manages internal and external clients. Works in a very high energy, high productivity environment in a very fast-growing global company. The ideal candidate will have experience or strong interest in reviewing and negotiating commercial contracts, particularly in the healthcare and technology sectors. This role offers a unique opportunity to work on mission-critical transactions and to gain broad exposure to the legal and operational challenges facing healthcare technology companies.
Essential Job Functions
- Review, draft, and assist in negotiating a wide range of commercial agreements, including client master services agreements, business associate agreements, non-disclosure agreements, software and technology licensing agreements, vendor, subcontractor, and customer contracts and other contracts as needed
- Support internal stakeholders (e.g., Sales, Product, Operations, IT, Compliance) with contract interpretation and risk assessment.
- Conduct legal research and assist with compliance initiatives, policies, and playbooks.
- Ensure contractual terms align with internal risk standards, applicable laws, and company policies (e.g., HIPAA, HITECH, Stark, Anti-Kickback).
- Assist with contract lifecycle management and documentation
- Help develop and maintain legal templates, guidance materials, and process improvements.
Provide general support to the Legal team on corporate, regulatory, and transactional matters as needed.
- Assists in contract governance and compliance.
- Conduct entity, asset and related corporate research for proper contract execution and enforcement.
- Maintain excellent working relationships with internal and external clients to ensure their needs are met.
- Engage in regular communications with vendors to resolve issues.
- Identify issues to be escalated to senior attorneys, as needed.
- Identify opportunities to improve business processes relating to the legal department and devise plans to implement these changes.
- Substantial involvement in administration and management of the Company insurance program, insurance related matters, application/procurement and renewal process.
- Assists in review and response to RFPs, vendor questionnaires, and other contract-adjacent needs.
- Assists in drafting, revising, and administration of corporate policies and practices.
- Management of and preliminary review of outside counsel legal invoices.
- Other duties as assigned at the discretion of the Chief Legal Officer and Deputy General Counsel.

- Interest in healthcare and/or technology industries strongly preferred
- Exposure to privacy regulations, HIPAA and related healthcare laws, Stark/Anti-Kickback and related healthcare laws, technology and intellectual property-related contracts, and other general healthcare regulatory issues is a plus

This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.

Position Type/Expected Hours of Work
This is a full-time position. Days and hours of work are generally Monday through Friday, 8:00 a.m. to 5 p.m. This position occasionally requires long hours and weekend work.
Travel
Minimal travel required; up to 5%
Required Education and Experience
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar association.
- Minimum of 5+ years of legal experience, preferably with a focus on healthcare law, business law, or a related field.
Preferred Education and Experience
- Previous experience working in house and/or in healthcare preferred.
