Job Title: Contract Financial Attorney (Municipal Bonds & Securities Law)

Position Summary
We are seeking a seasoned Contract Financial Attorney with a robust background in municipal bonds, New York State law, and federal securities regulations, particularly SEC Rule 15c2-12. This role will support complex public finance transactions and ensure compliance with evolving disclosure requirements.
The ideal candidate possesses exceptional research skills, sharp legal analysis, and demonstrated experience navigating both state and federal legal frameworks affecting municipal issuers.
Key Responsibilities
- Provide legal analysis and drafting support for municipal debt issuances, including general obligation bonds, revenue bonds, notes, and refunding transactions.
- Review, draft, and advise on documents such as Official Statements, Continuing Disclosure Agreements, Indentures, and Bond Purchase Agreements.
- Ensure compliance with SEC Rule 15c2-12, MSRB rules, New York State finance laws, and relevant public authority statutes.
- Conduct in-depth legal research on securities law, municipal disclosure obligations, and emerging regulations.
- Coordinate with external bond counsel, underwriters’ counsel, and internal finance teams to support timely and compliant transaction execution.
- Track legislative and regulatory developments at both the state and federal levels that may impact municipal issuers.
- Support the creation of training materials, internal memos, or regulatory guidance documents for agency staff and leadership.
- Assist with responses to regulatory inquiries or audits related to financial disclosures or debt offerings.
Qualifications
Required:
- Juris Doctor (J.D.) from an accredited law school.
- Admission to the New York State Bar (or ability to practice under in-house counsel registration rules).
- Minimum 8 years of legal experience, with a significant portion focused on municipal finance and public securities law.
- Demonstrated knowledge of SEC Rule 15c2-12, continuing disclosure requirements, and the Municipal Securities Rulemaking Board (MSRB) framework.
- Proficiency in researching and interpreting New York State statutory and regulatory frameworks governing public authorities and municipal issuers.
- Strong legal writing, analytical, and communication skills.
Preferred:
- Prior experience as bond counsel, underwriter’s counsel, or in-house counsel for a public authority or municipal issuer.
- Familiarity with ESG-related municipal disclosures, green bonds, or public-private financing structures.

Contract Terms & Compensation
