Senior Counsel – Governance, SEC Compliance and Corporate Finance   In this role, you will report to the Vice President – Associate General Counsel and Corporate Secretary and be a member of a highly collegial legal team to prepare and review required SEC filings, investor communication, board materials, financing agreements, and equity and executive compensation materials.   You will collaborate with senior leaders in finance, treasury, investor relations, and human resources as a critical member of the corporate team.   This is a highly visible role, with interaction with C-suite leaders and board of directors and with significant opportunity and support for professional and career development. 

Responsibilities:

  • Assist in the preparation and review of the Company's SEC filings and other public disclosure documents, including 10-Ks, 10-Qs, 8-Ks, and other SEC- and NYSE-related documents
  • Ensure compliance with SEC and NYSE listing rules, where applicable
  • Participate in advising the Board of Directors on corporate governance matters and preparing/reviewing board materials
  • Serve as a key business partner to the Company's Finance, Investor Relations, Treasury and HR functions
  • Assist in designing, preparing and reviewing annual proxy statement and annual report and organizing and preparing for the Company’s annual shareholder meeting
  • Participate in organizing and preparing for the Company’s annual shareholder engagement on governance, compensation, sustainability, board composition and human resource matters
  • Assist in administering the Company's insider trading policy and prepare Section 16 reports
  • Take leadership role on various legal matters and perform other tasks as assigned from time to time, including supporting the global procurement teams.

Minimum Qualifications and Experience:

  • J.D. degree from an accredited US law school
  • 4+ years experience practicing as a corporate attorney at a top-tier law firm and/or in a sophisticated in-house legal department for a public company
  • Member in good standing of a State Bar Association
  • Highly driven, with learning agility and desire to expand skill set
  • Desire to approach legal issues as a business partner, collaborating with colleagues to find solutions that best serve the Company
  • Self-starter and independent but with wisdom to escalate and collaborate when needed
  • Outstanding listener and effective communicator at all levels of the organization and outside parties
  • Organized and detail-oriented
  • Enthusiasm for establishing and maintaining effective working relationships with cross-functional teammates in a dynamic matrix organization
  • Positive attitude and ethics

Location and In-Office Requirements: Everett, WA. This is not a remote role. The successful candidate is expected to be in the office at least 4 days per week.
