Job Description

Purpose of Role:

We are seeking a highly experienced Healthcare Transactional Attorney (10+ years) to join our dynamic firm at the Partner level, specializing in healthcare M&A. This role will involve leading complex transactions, ensuring regulatory compliance, and negotiating contracts, while managing other key aspects of healthcare transactions. We are looking for a candidate with substantial expertise in healthcare law, a proven track record of leading and closing high-value deals, and someone who thrives in a collaborative, innovative environment.

Responsibilities:

  • Lead healthcare mergers and acquisitions, managing joint ventures, partnerships, employment arrangements, management agreements, lease agreements, and other related transactions.
  • Draft and negotiate a broad range of corporate and transactional documents, including operating agreements, management agreements, employment/independent contractor agreements, purchase agreements, leases, and billing services agreements. This spans diverse sectors, including medical, pharmacy, dentistry, veterinary, and hospitals.
  • Provide strategic advice on healthcare regulatory issues, including fraud and abuse concerns, Stark Law, Anti-Kickback Statute, ERKA, corporate practice of the profession, and fee-splitting laws.
  • Work closely with clients and internal teams to navigate legal complexities and deliver pragmatic solutions.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Mandatory Bar admission in NJ; NY admission is a plus.
  • Minimum of 10+ years of experience in healthcare transactional law, with a strong track record in M&A, regulatory compliance, and contract negotiation.
  • Deep knowledge of healthcare laws and regulations, including Stark Law, Anti-Kickback Statute, ERKA, corporate practice of the profession, and fee-splitting laws.
  • Proficiency in Microsoft Office and various accounting and document management software.
  • Experience with electronic documentation and e-discovery matters.
  • Strong commercial/business acumen with a demonstrated ability to offer creative, business-focused solutions.
  • Excellent interpersonal, communication, and writing skills, with a high level of professionalism and outstanding academic credentials.
  • Comfortable working under pressure and addressing sensitive matters directly and diplomatically.
  • Ability to handle complex legal issues under pressure, meeting deadlines while maintaining attention to detail.

Compensation & Benefits: This position offers a salary range of $180,000 - $325,000 annually, commensurate with experience and qualifications. Final compensation will be determined based on factors such as experience, skills, and qualifications. Attorneys may also be eligible for discretionary year-end bonuses, merit-based increases, and origination credit. The posted salary range reflects the base pay range for this position.
