Job Summary:

The Vice President of Legal Affairs- Corporate & Securities will support the Chief Legal Officer in advising the Board of Directors and executive team on a wide range of legal matters, SEC/NYSE compliance and reporting requirements, finance and capital markets, M&A, real estate, transactions and corporate governance matters for a publicly traded company. This role monitors developments, including proposed legislation and court decisions related to these areas and evaluates their impact on the business.

Responsibilities:

  • Advise with respect to securities law compliance and SEC reporting, including quarterly reporting, disclosure controls and procedures, Section 16 compliance, annual proxy statement, and disclosure assessments.
  • Advise on finance and treasury-related matters, including capital markets and other financing transactions, related documentation and covenant compliance.
  • In collaboration with finance team, research and coordinate responses to due diligence requests.
  • Advise on corporate transactions, including M&A, and real estate when applicable.
  • Advise on corporate governance guidelines, insider trading policy, 10b5-1 trading policy, conflict of interest policy and other relevant corporate policies.
  • Advise management and directors regarding conflict of interest, related party transaction, executive and director compensation, director independence, and other matters.
  • Advise on equity programs, including equity grants and equity award documentation.
  • Draft, review and/or file various documentation, administer data rooms and otherwise provide support to business teams in connection with foregoing areas; prepare and administer training.
  • Prepare Board meeting materials and resolutions, take minutes, coordinate scheduling and agenda items.
  • Provide strategic and proactive legal advice to business clients.
  • Effectively communicate and manage business client expectations while adequately planning and organizing resources to keep pace with business demand and deadlines.
  • Maintain deep understanding of business objectives, adequately spot important legal issues, clearly communicates risks and considerations for business input, and take a commercial approach to risk mitigation.
  • Assess risk and uses sound business and legal judgment to make decisions, negotiate, and determine priorities to meet deadlines in a fast-paced environment.
  • Inspire confidence in business clients by consistently providing well-reasoned legal advice and practical solutions to complex issues.
  • Exhibit a strong work ethic and takes ownership of complex projects with minimal supervision while demonstrating sound judgment and superior decision-making, multi-tasking and problem-solving skills; meets prescribed deadlines.

  • Coordinate cross-functional legal input by working closely with other attorneys in the legal department.
  • Perform other duties as assigned by the Chief Legal Officer.

Pay Range: $200,000 - $275,000

Qualifications

Qualifications:

  • Juris Doctor Degree
  • Minimum of five (5) years' experience and legal expertise in Securities, Finance, and Governance.
  • Member of at least one U.S. state bar with ability to qualify for California in-house registration.
  • Proof of eligibility to work in the United States.
  • Ability to demonstrate and adhere to highest standards of ethics and integrity.
  • Substantive experience, knowledge and understanding of legal strategies and principles related to Securities, Finance, and Governance; ability to analyze and apply legal principles and precedents to legal issues; ability to perform legal research, evaluate alternatives and make sound recommendations.
  • Excellent research and writing skills; ability to prepare clear, concise and complete legal documents, reports, correspondence and other communications materials on complex legal issues; ability to communicate effectively in English, in both written and oral forms; ability to make effective public presentations. 
  • Ability to exercise initiative, independent judgment, and work with discretion.
  • Ability to deal effectively with all business contacts, including government agencies, and to establish and maintain effective working relationships with co-workers, internal clients, and external business partners.
  • Sound judgment and superior decision-making, multi-tasking and problem-solving skills; ability to meet prescribed deadlines.
  • Basic proficiency in MS Word, Excel, PowerPoint and MS Outlook.
  • Excellent verbal and written communication skills.
  • Self-motivated and self-directed and able to work without direct supervision on assigned projects and tasks.
  • Ability to work in a fast-paced environment.
  • Professional appearance and demeanor.
  • Ability to travel as needed.
