Job Description

Summary

The Senior Paralegal will play a critical role in supporting energyRe’s Legal Department across corporate governance, compliance, contract management, legal operations and transactional activities. This individual will lead legal operations initiatives, manage complex regulatory requirements, and ensure alignment with company policies and external obligations. The role requires exceptional judgment, independent execution, and the ability to collaborate effectively with internal and external stakeholders. The Senior Paralegal will also serve as a mentor and resource for junior team members.

Requirements

Key Job Responsibilities

  • Lead the full lifecycle of corporate entity management, including formation, maintenance, dissolution, and compliance across jurisdictions.
  • Manage and maintain corporate minute books, ownership ledgers, organizational charts, and subsidiary structure records; ensure all documentation remains audit-ready and compliant with regulatory requirements.
  • Draft and prepare board and shareholder resolutions, consents, certificates, and other governance documents with minimal supervision or attorney oversight.
  • Oversee formation, structuring, and maintenance of corporate entities, draft and file formation documents, amendments, dissolutions, and foreign qualifications.
  • Coordinate annual compliance filings, including those related to tax authorities, Secretary of State offices, and licensing bodies.
  • Draft and review a wide range of commercial agreements (e.g., NDAs, consulting agreements, service contracts) under attorney supervision.
  • Take ownership of the contract lifecycle process, from intake and redlining through execution, archiving, and obligation tracking.
  • Implement and enhance contract management systems; develop tools to monitor obligations, milestones, and risks.
  • Partner with internal business units (Finance, Development, Procurement, etc.) to ensure cross-functional legal alignment.
  • Provide support for M&A, joint ventures, and financing transactions, including due diligence, data room management, and closing logistics.
  • Manage document checklists, coordinate signature processes, and assist with post-closing tasks.
  • Support corporate restructurings, intercompany agreements, and compliance with internal controls.
  • Track and help manage active litigation matters and legal holds.
  • Respond to subpoenas and regulatory inquiries in coordination with outside counsel.
  • Assist in drafting and maintaining corporate policies and internal legal templates.
  • Support compliance initiatives and legal risk assessments
  • Serve as a primary point of contact for junior paralegals and administrative support staff.
  • Develop, maintain, and improve internal legal operations processes and systems, and train new legal hires on corporate governance and other compliance procedures.
  • Monitor and ensure company compliance with applicable laws, regulations, and internal policies, including but not limited to FERC, state corporate laws, and tax compliance.
  • Contribute to knowledge management efforts by creating SOPs and checklists.
  • Assist in drafting, maintaining, and implementing corporate policies, internal legal templates, and compliance training materials.
  • Track and support the management of litigation, legal holds, claims, subpoenas, and dispute resolution matters in coordination with outside counsel.


Required Education

  • Paralegal Certificate (ABA-approved)
  • BA/BS degree, Preferred


Required Experience

  • 10 plus years of experience working in a corporate legal environment, with a focus on corporate entity management.
  • Strong understanding of corporate governance, general corporate and contract law and legal operations.
  • Experience in renewable energy a plus
  • Experience with entity formation and maintenance, including drafting of formation documents, filing with state and federal agencies, and maintaining accurate corporate records.

  • Strong attention to detail with the ability to manage multiple priorities and meet deadlines in a fast-paced, dynamic environment.
  • Excellent written and verbal communication skills, with the ability to effectively interact at all levels of the organization.
  • Proven ability to work independently and take initiative, while also collaborating effectively with internal teams, external partners, legal counsel, and regulatory agencies.
  • Demonstrated sound judgment, adaptability under pressure, and discretion in handling confidential information.
  • Strong interpersonal skills with the ability to anticipate needs, problem solve and follow through on commitments.
  • Experience with e-billing, matter management systems, and vendor onboarding within payment platforms.
  • Notary public certification.


Physical Requirements


The Paralegal may be required to endure the following physical activities, environmental conditions, and physical demands:

  • Moving self in different positions to accomplish tasks in various environments including tight and confined spaces,
  • Remaining in a stationary position, often standing, or sitting for prolonged periods,
  • Moving about to accomplish tasks or moving from one worksite to another,
  • Adjusting or moving objects up to 20 pounds in all directions,
  • Communicating with others to exchange information,
  • Repeating motions that may include the wrists, hands and/or fingers, and
  • Assessing the accuracy, neatness and thoroughness of the work assigned.
