Overview:   Talcott is seeking an Assistant General Counsel Capital Markets Attorney to join our dynamic team. Talcott is one of the most active reinsurance and acquisition platforms in the U.S. life and annuity sector, operating across the U.S., Cayman and Bermuda. This role offers direct line of sight to senior leadership, ownership of marquee transactions, and the opportunity to help shape a growing Company. The ideal candidate shall offer significant expertise in drafting and negotiating capital markets. They will have strong working knowledge of securities transaction documentation. In addition to the associated federal securities laws, this counsel will work directly on corporate governance and disclosure requirements. Our Assistant General Counsel shall directly provide legal counsel to Talcott’s Head of Treasury and reports directly to the Deputy General Counsel, Head of Investment Law. The ideal candidate will work in a hybrid in-office arrangement out of one of our office locations in New York City, Hartford, CT., or Charlotte, NC.   Responsibilities:   Advise on legal and regulatory considerations with respect to capital markets and treasury matters to include debt and equity offerings, letters of credit, credit facilities, liquidity and capital solutions, funding agreement backed products and intercompany lending Review, draft and negotiate transaction documentation (offering documents, 144A materials, purchase agreements, legal opinions, comfort letters, engagement letters, term sheets and other similar documents) Provide treasury and capital markets compliance and disclosure support Manage the oversight of outside counsel as needed   Qualifications:   J.D. from an accredited U.S. law school and an active bar member in good standing of at least one U.S. bar Minimum of 5 years of work experience practicing law with at least 3 years of experience within capital markets or treasury legal area at one or more of the following: a top-tier law firm or an in-house entity or major life/annuity (re)insurer in a capital markets or treasury legal Experience with repurchase and reverse repurchase transactions, surplus note issuances, insurance capital solutions, derivatives and/or related matters is a plus Hard-working, energetic, creative, self-motivated, and exhibiting a passion for work within the capital markets segment Sound ethical and legal judgment with the capacity to effectively negotiate with business partners Ability to work independently and/or collaborate with cross-functional team members outside Demonstrated business savvy with a strategic focus for problem solving Effective communicator with outstanding interpersonal and organizational skills Ability to establish and maintain productive business relationships across the organization A self-starter with strong organizational and project management skills Ability to handle a high volume of matters while balancing competing demands Willingness to take initiative, lead projects and drive projects to thru to completion
