About the Job:
reAlpha (Nasdaq: AIRE) is seeking a highly motivated and experienced Associate General Counsel, Securities & M&A to serve as an in-house legal advisor for the company. This role presents a unique opportunity to take on significant responsibility in mergers & acquisitions (M&A) and corporate governance, with a focus on leading legal aspects of strategic transactions. As a trusted partner to senior leadership, external advisors, and internal teams, you will provide critical legal counsel on M&A deals, including due diligence, transaction structuring, and integration, as well as on matters related to securities law, public offerings, and securities compliance. This position is ideal for a candidate with a solid foundation in M&A and securities law, looking to grow and take on an increasingly impactful role within a fast-paced, high-growth public company.
Key Responsibilities:
- Securities & Compliance Support: Provide legal support on securities law matters, including preparing SEC filings, ensuring corporate governance compliance, and supporting ongoing public company reporting obligations.
- M&A Transactions: Support M&A transactions by conducting due diligence, drafting transaction documents, and assisting with deal structuring. Work closely with cross-functional teams to execute transactions.
- Corporate Governance: Advise on corporate governance matters, including supporting board and committee processes, shareholder matters, and executive compensation arrangements.
- Regulatory & Compliance: Stay up to date on regulatory developments in securities law, M&A, and corporate governance, and provide timely advice to ensure compliance with applicable laws and minimize risk.
- Contract Drafting & Negotiation: Draft and negotiate various corporate agreements, including NDAs, joint ventures, and partnership agreements.
- Legal Counsel for Business Units: Work closely with reAlpha’s business teams to support day-to-day operations, helping to identify and manage legal risks and providing practical solutions that align with business objectives.
- Collaborate with External Counsel: Work with outside counsel on M&A and securities-related matters, managing and leveraging external resources effectively.
Qualifications & Skills:
- Education: JD from an accredited law school and admission to the bar in at least one state.
- Experience: 2+ years of legal experience with a focus on securities law and M&A. Experience working with a public company is a plus but not required.
- Securities Law Knowledge: Solid foundation in securities laws and SEC reporting requirements. Willingness and ability to learn quickly and build expertise in this area.
- M&A Experience: Some experience supporting M&A transactions, including due diligence and transaction document preparation. This role offers a great opportunity to take your M&A experience to the next level.
