We are seeking a pragmatic, business-oriented General Counsel to lead and manage all legal functions across the organization. This individual will serve as a trusted advisor to executive leadership, providing strategic guidance on legal risk, regulatory compliance, contract structuring and negotiation, insurance and claims management, corporate transactions, and commercial business operations. 

The ideal candidate brings a strong background in contract negotiation, compliance oversight, insurance and risk management, and mergers & acquisitions, preferably within private equity-backed or growth-oriented organizations. This role will partner closely with executive leadership, finance, operations, HR, and sales to protect the company’s interests while enabling scalable growth.  

 

Mission 

To serve as a strategic legal and compliance partner to the business by proactively managing risk, supporting operational and financial objectives, ensuring contractual and regulatory compliance, and guiding the organization through growth initiatives, corporate transactions, and complex business matters. 

 

Responsibilities 

  • Serve as the company’s lead legal advisor on corporate governance, compliance, risk management, insurance matters, and strategic business initiatives  
  • Provide legal counsel across a broad range of business matters including commercial contracts, regulatory compliance, employment matters, dispute resolution, insurance claims, corporate transactions, and M&A activity  
  • Lead the review, drafting, negotiation, and administration of customer contracts, vendor agreements, subcontractor agreements, proposals, NDAs, and other commercial documents  
  • Partner with operations, finance, and sales teams to structure legally sound and commercially viable agreements while minimizing organizational risk  
  • Oversee and manage the company’s compliance programs, ensuring adherence to applicable federal, state, and industry regulations  
  • Advise leadership on legal exposure, contractual obligations, insurance coverage, indemnification provisions, and risk mitigation strategies  
  • Manage insurance-related legal matters including claims coordination, policy review, renewals, broker relationships, and contractual insurance requirements  
  • Support mergers, acquisitions, ownership transitions, due diligence processes, and post-transaction integration activities  
  • Manage and resolve disputes involving clients, vendors, subcontractors, employment matters, and accounting/financial issues  
  • Partner with HR and leadership on employee relations matters, investigations, policy development, and employment-related compliance  
  • Oversee outside counsel and legal vendors while managing legal spend effectively  
  • Develop and implement scalable legal processes, policies, templates, and best practices across the organization 


Qualifications
  • Juris Doctor from an accredited law school
  • 3+ years of experience at a law firm
  • 3+ years of in house business facing legal experience
  • Private equity experience including transactions
  • Experience reviewing contracts proposals and commercial agreements
  • Working knowledge of employment law contract law and dispute resolution
  • Strong business acumen with the ability to balance legal risk and commercial objectives
  • Excellent communication and negotiation skills
  • Ability to work cross functionally with sales operations finance human resources and executive leadership
  • High level of integrity sound judgment and discretion
  • Organized proactive and capable of managing multiple priorities
  • Experience supporting or partnering with accounting finance functions is a plus

 

Preferred Experience

  • Experience in data center construction industrial services facilities services or other field based operational industries
  • Familiarity with OSHA safety compliance subcontractor vendor risk management and insurance heavy service environments
  • Experience working within private equity backed organizations
  • Background supporting B2B service organizations with multi state operations
  • Experience managing complex customer MSAs vendor agreements and operational risk frameworks
