Job Description

We are looking for a Senior Legal Counsel, looking for new challenges in an international environment, dedicated to delivering high-quality results to advise on legal issues.

We expect the Senior Legal Counsel to:

  • Support drafting, reviewing, and negotiating legal documents, including software development agreements, service agreements, license agreements, and SaaS agreements,
  • Interpret contract requirements, obligations, and project risk management,
  • Participate in developing/amending policies and other internal procedures (e.g., personal data processing and labor law aspects) and verify compliance with corporate guidelines,
  • Create corporate documents and assist in corporate procedures (e.g., registration of corporate document amendments),
  • Conduct research and analyze claims and legal cases to improve the organization's financial and economic activity,
  • Prepare materials on employees' disciplinary and material liability per established procedures,
  • Participate in reviewing materials on the status of accounts receivable to identify debts that require enforcement action,
  • Together with other organizational units, organize systematic recording and storage of contracts and provide users access based on modern information technologies,
  • Prepare legal opinions on issues arising from the organization's activities,
  • Provide information to employees on current legislation and changes,
  • Advise employees on organizational and legal issues, prepare opinions, and assist in document preparation,
  • Oversee and manage external legal spending to ensure cost efficiency,
  • Engage in and contribute to high-level strategic projects, ensuring alignment of legal support with organizational goals,
  • Utilize legal technology and automation to improve efficiency in handling legal matters.
Qualifications

Essential skills:

  • LLM and 4 years of experience practicing law as in-house counsel at a fintech company, or Juris Doctor and 4 years of experience practicing law as in-house counsel at a fintech company,
  • Eligibility for admission to practice law in New York State or New Jersey,
  • 4 years of experience in drafting, reviewing, and negotiating international IT contracts (eg, software licensing, development, SaaS) for fintech companies,
  • Proven experience in interpreting market data, originators’ policies, and procedures relating to vendors’ obligations (eg, NASDAQ, CBOE, CME),
  • Experience in creating IP items protection measures, adjusting contracts and internal policies within an IP framework, working on IP assignments, researching current court adjudications relating to IP ownership claims, focusing on copyright, trade secret, and patent work,
  • 3 years of experience in advising international corporate structures and HR practices, and implementing data protection compliance (GDPR, CCPA, KVKK, BDSG, COPPA) in IT systems and corporate processes,
  • 2 years of experience working on trademark protection (search, analysis, filings),
  • Upper-intermediate German proficiency.
