Senior Counsel – Transactional

Please Note: As per current corporate policy, you will be required to be IN the office a minimum of three (3) days per week @ 241 Ralph McGill Blvd, Atlanta, GA, and/or as required. (Currently, the days in the office are Monday's, Tuesday's & Thursday's.)

You also must be willing/able to do occasional travel. 

JOB SUMMARY 

This position is responsible for providing transactional legal support and direction for the Company on a wide variety of commercial agreements and contracts, including construction, sales, licensing, technology, procurement, and related matters. 

This includes partnering with the Company’s business units to develop the Company’s legal strategy related to such commercial and transactional matters. This position also is responsible for collaborating with outside counsel and employees at all levels within the Company to provide advice and guidance.

JOB RESPONSBILITIES

  • Provide day-to-day advice and strategic planning on a wide variety of commercial and transactional legal matters.
  • Structure, draft, negotiate, interpret, and manage a wide variety of commercial agreements and contracts for the benefit of multiple business units, including Power Delivery, Sales and Marketing, Customer Service, Renewables, Supply Chain, Corporate Communications, and many others.
  • Educate business teams about contract forms, including recent contract best practices, common clause objections, commercial and legal risks and internal contract review and approval procedures.
  • Provide accurate and timely legal support focused on the needs of the business while ensuring compliance with applicable local, state, and federal laws.
  • Effectively establish and maintain relationships with internal business partners and outside legal counsel.
  • Direct, manage, and collaborate with outside counsel representing the Company in commercial transactions and related litigation matters.
  • Assist with management of the legal budget, including oversight and approval of outside counsel spend.
  • Collaborate with team on knowledge sharing, standardization and consistency of legal processes and operations, and utilizing technology to automate tasks where appropriate.

JOB REQUIREMENTS

  • Graduate of an American Bar Association accredited law school with at least an L.L.B. or J.D. degree and strong academic credentials. 
  • At least 6 years of experience, including law firm experience practicing in relevant areas of law. Experience as in-house counsel is a plus. 
  • Licensed to practice law in one or more states in which the company or its subsidiaries operate. 
  • Experience providing advice on the interplay between business and legal/regulatory considerations. 
  • Demonstrated ability to manage multiple complex projects with competing deadlines. 
  • Strong focus on inclusion, innovative thinking, practical solutions, and providing excellent customer service.
  • Knowledge of relevant utility statutes, rules and regulations, and guidance documents related to the business is a plus. 
  • High ethical standards and behaviors.
  • Excellent interpersonal, written, and verbal communication skills. 
  • Proficient reporting to upper management in multiple business units and providing training to business partners.
  • Extensive analytical and problem-solving skills. 
  • Substantial experience drafting and negotiating a variety of commercial contracts. 
  • Able to work autonomously and in a team environment as appropriate. 
  • Must be willing to do occasional travel.
