ABOUT THE ROLE
This role will support C-Suite executives with corporate governance, compliance, contracts, and transactional matters, focusing on documentation, entity management (formations, filings, annual reports), meeting prep, due diligence for agreements, and maintaining corporate records, acting as a key liaison between legal, business, and external parties.  This position typically works traditional hours but occasionally may need to work over to successfully meet customers’ needs. 
IN THIS ROLE, YOU WILL HAVE THE OPPORTUNITY TO:
  • Contract Management: Draft, review, and manage various agreements like NDAs, vendor contracts, and employment contracts; support contract lifecycle.
  • Corporate Governance: Prepare and file corporate documents and manage statutory filings with state/federal agencies. Organize meetings, prepare agendas, take minutes as needed.
  • Entity Management: Form and maintain legal entities (corporations, LLCs), manage certificates, licensing, and other related items.
  • Compliance & Research: Track legislation, research legal issues, ensure adherence to regulations and assist with filings.
  • Litigation Support: Assist with document requests, discovery coordination, complaint responses, and other litigation related tasks. 
  • Perform related duties as assigned or as the situation dictates year-round
 
TO BE SUCCESSFUL IN THIS ROLE, YOU WILL NEED:
  • Ability to quickly learn and maintain in-depth knowledge of products and offerings
  • Excellent attention to detail and accuracy
  • Need a strong appreciation of the importance of completing tasks on deadline
  • Excellent analytical, problem solving and organizational skills
  • Excellent oral and written communication skills
  • Demonstrated independent work initiative, sound judgment, diplomacy, analytical ability, and professional demeanor
  • Excellent organizational skills
 
EDUCATION / EXPERIENCE REQUIREMENTS:
  • Associate’s or Bachelor’s in Paralegal Studies or related legal field.
  • 5+ years as a Paralegal.
  • Proficiency in Microsoft Office and legal research tools.
  • Experience in corporate law, entity management, contract support, Trademarking, and filings with Secretary of State and other related entities.

Work is performed mostly in an office setting; hand-eye coordination is necessary to operate computers and various pieces of office equipment.  While performing the duties of this job, the employee frequently is required to stand and talk or hear; use hands and fingers to handle, feel, or operate objects, tools, or controls and reach with hands and arms.  The employee is occasionally required to walk; sit; climb or balance; stoop, kneel, crouch, or crawl; and smell.  The employee must be able to occasionally lift and/or move up to 25 pounds.  PPE required while in manufacturing areas.  Specific vision abilities required by this job include close vision and the ability to adjust focus.
