Responsibilities:- Preparation: contributes to the preparation of agendas, resolutions, management and shareholder consents, and information packages. Also prepares and maintains official corporate records, notices, reports, registrations, and actions as required by federal, state, and local jurisdictions, and other regulatory authorities.
- Supports: secretarial and corporate governance workstreams in corporate restructuring, mergers, and post-merger integration. Supports the preparation of transaction bibles, regional organizational charts, the filing of pleadings, preparation of affidavits and the corporate database.
- Responds: to routine inquiries from shareholders on corporate matters, such as company registrations, certificates of good standing, dissolutions, and the appointment of officers and directors, along with related documentation, requests regarding pending actions, related general correspondence and corporate records.
- Coordinates: under the supervision of corporate counsel, the compliance and governance documentation and disclosures, including anti-money laundering and Know Your Customer (KYC) requirements.
- Communication: Liaises with internal and external counsel and paralegals and assists attorneys in researching and analyzing pertinent legal documents, manages legal files, schedules meetings, fact investigation, research, and various other facets of legal work.
- Minimum of 10+ years of relevant corporate paralegal work experience
- Paralegal certificate is preferred
- Experience working in a corporate office environment in required
- Strong working knowledge of Microsoft Office applications (Word, Excel, and PowerPoint) and other various company information systems.
- Exceptional attention to detail and well demonstrated written and oral communication skills.
- Strict adherence to confidentiality and demonstrated professionalism and discretion.
- Strong interpersonal skills with the ability to build collaborative relationships and work with teams at all levels of the organization.
- Ability to perform tasks under general supervision with a high degree of autonomy.
- Understanding of global matrix organizations, including effective communication and coordination among corporate functions and stakeholders such as tax, HR, and finance, in alignment with global role charters, compliance policies, and approval processes.
