Job Description

WHO WE ARE:

The National Multiple Sclerosis Society mobilizes people and resources to drive research for a cure and to address the challenges of everyone affected by MS. To fulfill this mission, the Society funds cutting-edge research, drives change through advocacy, facilitates professional education, collaborates with MS organizations around the world, and provides programs and services designed to help people with MS and their families move their lives forward. We partner with volunteers to accomplish our work. Staff members engage volunteers through effective and timely communications, facilitating meaningful opportunities, and continually seeking and providing feedback for reciprocal growth and learning.

Corporate Counsel, Contracts, will mitigate risk to the organization by providing pragmatic legal advice and counsel in support of organizational objectives.   Counsel must ensure that the organization complies with the law while being solution focused.  Counsel must possess strong legal and analytical skills, be a strong writer, and be able to articulate their position in a clear and concise manner.  Counsel must possess interpersonal skills to work with staff throughout the organization in a collaborative way.  Counsel will be responsible for reviewing and negotiating contracts so that the most important provisions to the organization are clearly detailed and documented. Counsel will also draft and monitor compliance with Society policies and provide legal support for those policies, conduct legal research and other projects as assigned.​

Contract Review & Negotiation (50%)

  • Review, revise, draft and/or negotiate commercial agreements including but not limited to services agreements, NDAs, sponsorship agreements, and vendor agreements.  

  • Develop and implement internal policies and procedures related to contract management. 

  • Work closely with various departments to understand their contractual needs and provide legal guidance. 

  • Research and stay current on industry best practices for contract management. 

  • Provides training focused on contract/transactional matters for the Society staff. 

Communicate & Manage Contract Lifecycle (25%)

  • Ensure the organization’s internal contractual documents are accurate and well maintained. 

  • Manage processes to meet key milestones within each contract, including renewals, termination and key deliverables. 

  • Maintain contract database. 

  • Identify opportunities to improve business processes and devise plans to implement these changes. 

  • Lead the procurement of a new contract lifecycle management system.

General Legal Advice & Counsel (25%)

  • Collaborate and provide legal direction to staff on issues confronting the organization which may include, non-profit law, data privacy law, development and fundraising initiatives. 

  • Provide guidance on applicable federal and state law.  

  • Examples of specific duties handled by counsel include:

  • Manage conflict of interest process 
  • Support compliance with the National Health Council, GuideStar, MS International Federation and BBB guidelines  
  • Consult and manage outside counsel as needed  
  • Serve on the rotation for the crisis team on event weekends  

Role Qualifications

  • Requires membership in the State Bar as an attorney qualified to practice law   

  • Juris Doctorate (JD) Degree 

  • Minimum six years of legal experience that reflects the ability to draft, edit and analyze contracts.   

  • Strong legal research and analytical skills.   

  • Must be comfortable working as part of a team and help solve problems and provide pragmatic advice.  

  • Exceptional written and verbal communication skills, with the ability to effectively communicate complex legal issues to non-legal stakeholders.  

  • Strong analytical and problem-solving skills, with the ability to make sound legal decisions under pressure. 

  • Non-profit, data privacy and/or in-house experience a plus 

  • Must inspire confidence through the strength of their intellect, judgment, leadership style, and ability to manage interpersonal relationships at all levels. 

Technical Competencies 

  • Must have working knowledge of Microsoft Office Suite.   

  • Excellent organizational, project management and technological skills to maintain records and systems.  

Compensation & Benefits Info:

Estimated hiring compensation range for this role is $109,000 - $129,000 based on our average compensation schedule.  Final offers will be based on candidate geographic location and consider career experience and may vary from this range due to these and other factors.
